Terms and Conditions of This Purchase Order
- Applicability: This Purchase Order governs the procurement of Banker banking consultancy services to be rendered in Buenos Aires, Argentina, and is subject to the Argentine Civil and Commercial Code (Código Civil y Comercial de la Nación) and applicable banking regulations.
- Delivery and Performance: All Banker services shall be performed at the offices of Grupo Financiero del Plata S.A. located in Buenos Aires, Argentina, or at such other locations within the Buenos Aires metropolitan area as mutually agreed in writing.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice (factura) issued by Banker Consultores Financieros S.R.L. Payment shall be executed via electronic transfer (transferencia electrónica) to the supplier's account held at a bank operating in Buenos Aires, Argentina.
- Confidentiality: All banking data, client information, and proprietary financial models shared during the execution of this Purchase Order shall be treated as strictly confidential by Banker Consultores Financieros S.R.L. in accordance with Argentine data protection law (Ley 25,326).
- Regulatory Compliance: Banker shall ensure that all advisory services comply with the regulations issued by the Banco Central de la República Argentina (BCRA), the Comisión Nacional de Valores (CNV), and the Unidad de Información Financiera (UIF) of Argentina.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, Banker shall deliver all completed work products and documentation to the Purchasing Entity.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of the Argentine Republic. Any disputes arising herefrom shall be resolved by the competent commercial courts of the City of Buenos Aires, Argentina.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or systemic banking disruptions in Argentina.
