This Purchase Order is issued by Harbour Corporate Group Pty Ltd (the "Purchaser") to Meridian Corporate Banking Advisory Pty Ltd (the "Banker") for the engagement of professional corporate banking services to be performed in Sydney, New South Wales, Australia. All amounts are quoted in Australian Dollars (AUD). GST is applicable as the Banker is registered for GST in Australia and the services are consumed in Sydney, New South Wales.

  1. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Sydney, Australia.
  2. Payment Terms: The Purchaser shall pay the Banker within thirty (30) days of receipt of a valid tax invoice issued in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth). Payment shall be made by electronic funds transfer (EFT) to the Banker's nominated bank account in Australia.
  3. Commencement and Duration: The Banker's engagement shall commence on 1 July 2025 and shall continue for a period of twelve (12) months unless terminated earlier in accordance with Clause 6. All services shall be performed primarily in Sydney, Australia.
  4. Confidentiality: The Banker shall treat all financial information, trade secrets, and proprietary data of the Purchaser as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. The Banker shall comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
  5. Regulatory Compliance: The Banker warrants that it holds a valid Australian Financial Services Licence (AFSL) and that all services rendered under this Purchase Order shall comply with the Banking Act 1959 (Cth), the Corporations Act 2001 (Cth), APRA Prudential Standards, and all applicable ASIC regulations. The Banker shall maintain professional indemnity insurance of no less than AUD 10,000,000 per claim.
  6. Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect any accrued rights or obligations.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting Sydney or Australia, government-imposed restrictions, or systemic banking failures, provided that the affected party gives prompt written notice.
  8. Intellectual Property: All reports, strategies, and deliverables produced by the Banker specifically for the Purchaser under this Purchase Order shall become the property of the Purchaser upon full payment. The Banker retains ownership of its pre-existing methodologies and templates.
  9. Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be referred to senior management of both parties for resolution within thirty (30) days. If unresolved, the dispute shall be referred to mediation in Sydney, Australia, in accordance with the rules of the Australian Dispute Resolution Centre. Failing mediation, the dispute shall be referred to arbitration under the Arbitration Act 2010 (NSW).
  10. Entire Agreement: This Purchase Order, together with any attached schedules and the Banker's standard terms of engagement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements.

This Purchase Order is issued and authorised by the undersigned on behalf of Harbour Corporate Group Pty Ltd. The Banker's acceptance of this Purchase Order shall be evidenced by the return of a signed copy to the Purchaser within ten (10) business days of the date of issue. Failure to return a signed copy within the stipulated period shall be deemed a rejection of this Purchase Order.
