4.1 Delivery: All items listed in this Purchase Order shall be delivered to the Banker's office at Av. Rio Branco, 1200, Centro, Rio de Janeiro – RJ, 20040-000, Brazil, no later than 30 (thirty) calendar days from the date of acceptance of this Purchase Order by the Supplier.
4.2 Payment Terms: Payment shall be made in two installments: 50% (R$ 268,800.00) upon signing and acceptance of this Purchase Order, and the remaining 50% (R$ 268,800.00) upon successful delivery, installation, and sign-off by the purchasing Banker in Rio de Janeiro. Payment shall be executed via TED (Transferência Eletrônica Disponível) to the Supplier's account at Banco do Brasil, Ag. 1234-5, Conta 98765-4, in Brazilian Reais (BRL).
4.3 Compliance: All equipment and software procured under this Purchase Order must comply with the regulations established by the Central Bank of Brazil (Banco Central do Brasil – BACEN) and the Brazilian Securities and Exchange Commission (Comissão de Valores Mobiliários – CVM), as applicable to banking operations conducted in Rio de Janeiro, Brazil.
4.4 Warranties: The Supplier warrants that all goods delivered under this Purchase Order are new, free from defects, and fit for professional banking use. The Banker reserves the right to reject any item that does not meet the specifications outlined herein.
4.5 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of Rio de Janeiro, State of Rio de Janeiro, Brazil.
