This Purchase Order is issued by Montreal Financial Services Group Inc. (hereinafter referred to as the "Purchaser") to Banker Solutions & Advisory Corp. Terms and Conditions of this Purchase Order
- Delivery and Performance: All services and goods specified in this Purchase Order shall be delivered, installed, and made fully operational at the Purchaser's premises located in Canada Montreal, Quebec, no later than August 15, 2025. The Supplier's Banker personnel shall report to the designated office at 1250 Rue Sainte-Catherine Ouest, Montreal, Canada.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Supplier. Payment shall be processed via electronic funds transfer (EFT) to the Supplier's designated bank account in Canada Montreal. Late payments shall accrue interest at the rate prescribed under the Quebec Civil Code.
- Banker Qualifications: All Banker professionals assigned under this Purchase Order must hold valid certifications recognized by the Autorité des marchés financiers (AMF) of Quebec and comply with all regulatory standards applicable to Banker operations in Canada Montreal. The Supplier warrants that each Banker engaged shall maintain current professional standing and shall notify the Purchaser within 48 hours of any change in licensure status.
- Compliance with Canadian Law: The Supplier acknowledges that all Banker services rendered under this Purchase Order shall be performed in strict compliance with the Bank Act (Canada), the Quebec Securities Act, the Personal Information Protection and Electronic Documents Act (PIPEDA), and all municipal bylaws applicable in Canada Montreal. The Supplier shall bear full responsibility for any regulatory non-compliance arising from its Banker personnel's actions.
- Confidentiality and Data Protection: All client data, financial records, and proprietary information accessed by the Supplier's Banker team in the course of fulfilling this Purchase Order shall be treated as strictly confidential. Data storage and processing shall occur exclusively on servers located within Canada, and specifically within the Canada Montreal metropolitan area, in accordance with Quebec's Law 25 (Act respecting the protection of personal information in the digital age).
- Warranty and Support: The Supplier warrants that all software, hardware, and Banker advisory services delivered under this Purchase Order shall be free from defects for a period of twelve (12) months from the date of acceptance. The Supplier shall provide dedicated technical and Banker support within the Canada Montreal region, with a guaranteed response time of four (4) business hours for critical issues.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Supplier shall complete all in-progress Banker engagements and deliver a comprehensive transition report to the Purchaser within thirty (30) days of the termination effective date.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Canada Montreal, Quebec.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures in Canada Montreal, or systemic financial disruptions affecting Banker operations.
- Entire Agreement: This Purchase Order, together with any attached schedules and the Supplier's standard terms of service, constitutes the entire agreement between the parties with respect to the Banker services and goods described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter of this Purchase Order in Canada Montreal.
