1. Scope of Banker Engagement: This Purchase Order authorizes the engagement of the named Banker, Jonathan A. Whitfield, and his firm Whitfield & Associates Banking Advisory Group, to perform the banking advisory, facilitation, compliance, and strategic services as itemized above. All services shall be rendered in accordance with the professional standards established by the Canadian Securities Administrators (CSA) and the Financial Planning Standards Council (FPSC) in Canada Toronto.
2. Delivery and Performance: All deliverables under this Purchase Order shall be completed within the timelines specified in the attached Statement of Work (SOW-2025-TOR-04872). The Banker shall report progress to the Buyer's Procurement Director bi-weekly via written memorandum delivered to the Toronto office at 250 Bloor Street West. Final deliverables for each line item are due no later than the dates stipulated in the SOW.
3. Payment Terms: Payment shall be made in Canadian Dollars (CAD) within thirty (30) calendar days of receipt of a valid invoice from the Banker. Invoices must reference this Purchase Order number (PO-2025-TOR-04872) and be submitted to accounts payable at Maple Ridge Corporate Holdings Inc., Toronto, Ontario, Canada. Late payments shall accrue interest at the rate prescribed under the Ontario Interest Act.
4. Confidentiality and Data Protection: The Banker acknowledges that all financial data, corporate records, and proprietary information provided by the Buyer in Canada Toronto are strictly confidential. The Banker shall comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and the Ontario Personal Health Information Protection Act (PHIPA) where applicable. A mutual Non-Disclosure Agreement (NDA-2025-0487) is incorporated by reference into this Purchase Order.
5. Professional Liability and Insurance: The Banker shall maintain professional liability insurance with a minimum coverage of CAD $5,000,000 per occurrence, issued by a carrier licensed to operate in the Province of Ontario, Canada. Certificates of insurance shall be provided to the Buyer upon request and prior to the commencement of services.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all Banker services rendered up to the effective date of termination. The Banker shall return all confidential materials within ten (10) business days of termination.
7. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Toronto, Ontario, Canada, in accordance with the Arbitration Act (Ontario). The seat of arbitration shall be Canada Toronto.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government regulatory actions by OSFI or the Bank of Canada, or systemic financial market disruptions affecting the Canada Toronto banking sector.
9. Entire Agreement: This Purchase Order, together with the referenced SOW and NDA, constitutes the entire agreement between the parties regarding the engagement of the Banker for the services described herein. No modification shall be valid unless made in writing and signed by authorized representatives of both parties in Canada Toronto.
