- Payment Terms: Payment shall be made in two installments. Fifty percent (50%) of the total amount shall be due within thirty (30) calendar days of the date of this Purchase Order via wire transfer to the supplier's designated account. The remaining fifty percent (50%) shall be due within fifteen (15) calendar days following successful installation, commissioning, and written acceptance by the buyer's IT and compliance departments in Santiago, Chile.
- Delivery Terms: All physical goods shall be delivered Incoterms 2020 – DDP (Delivered Duty Paid) to the buyer's premises at Av. Apoquindo 4501, Las Condes, Santiago, Chile. The supplier assumes full responsibility for international shipping, customs clearance in Chile, import duties, and final delivery to the designated receiving dock. The estimated delivery date is no later than 20 August 2025.
- Regulatory Compliance: All hardware and software delivered under this Purchase Order must be fully compliant with the regulations of the Superintendencia de Bancos e Instituciones Financieras (SBIF) of Chile, the Banco Central de Chile data security directives, and the Ley 19.628 (Protection of Private Life). The supplier warrants that no data processed on the delivered systems will be stored or transmitted outside the territory of Chile without explicit prior written authorization from the buyer.
- Warranty: The supplier provides a minimum warranty period of thirty-six (36) months from the date of commissioning for all hardware items. Software licenses include one (1) year of free updates and security patches. Warranty service for on-site repairs in Santiago, Chile shall be provided within forty-eight (48) hours of a verified service request.
- Intellectual Property: All proprietary software, configurations, and documentation delivered under this Purchase Order remain the intellectual property of the supplier. The buyer is granted a non-transferable, non-exclusive license to use the software solely for internal banking operations at its Santiago, Chile facility.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, port closures affecting the Port of San Antonio or the Port of Valparaíso (Chile), or international trade embargoes.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Chile. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the commercial courts of Santiago, Chile. The parties agree to attempt good-faith mediation before initiating any formal legal proceedings.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms, pricing, and technical specifications contained in this Purchase Order. No information shall be disclosed to third parties without prior written consent, in accordance with Chilean commercial confidentiality standards.
- Acceptance and Rejection: The buyer shall have ten (10) business days from the date of delivery to inspect all goods and services. Any non-conforming items must be reported in writing to the supplier. The supplier shall replace or repair non-conforming items at its own cost within fifteen (15) business days of notification.
