1. Scope of Purchase Order: This Purchase Order is issued by Beijing Capital Banker Services Co., Ltd. (hereinafter referred to as the "Buyer") to procure specialized equipment, software, training, and support services exclusively for the operational use of its Banker staff across all China Beijing locations. All items listed herein are intended to support the daily functions of Banker professionals including client advisory, transaction processing, compliance monitoring, and inter-branch coordination.
2. Delivery: The Seller shall deliver all goods and services to the designated locations within China Beijing no later than July 15, 2025. Delivery shall be made DDP (Delivered Duty Paid) to the Buyer's premises in China Beijing. The Seller bears all risks of loss or damage until the goods are physically received and signed for by the Buyer's authorized representative in China Beijing.
3. Acceptance and Inspection: Upon delivery in China Beijing, the Buyer shall have a period of ten (10) business days to inspect all Banker equipment and verify software functionality. Any defects, non-conformities, or missing items must be reported in writing to the Seller within this inspection window. The Seller shall rectify or replace non-conforming items at no additional cost within fifteen (15) business days of notification.
4. Payment: Payment shall be made via bank transfer to the Seller's designated account in China Beijing within forty-five (45) calendar days from the date of the accepted invoice. The Buyer reserves the right to withhold payment for any line item that has not been satisfactorily delivered or accepted. All payments shall be processed in Chinese Yuan (CNY) through a licensed banking institution in China Beijing.
5. Compliance and Regulatory Adherence: All Banker equipment, software, and services procured under this Purchase Order must comply with the regulations of the People's Bank of China (PBOC), the China Banking and Insurance Regulatory Commission (CBIRC), and all applicable data protection laws within China Beijing. The Seller warrants that no data processed by the Banker systems shall be stored or transmitted outside the territory of China Beijing without explicit written authorization from the Buyer.
6. Warranty: The Seller provides a minimum warranty period of twenty-four (24) months on all Banker hardware items and twelve (12) months on all software licenses, commencing from the date of acceptance in China Beijing. Warranty service shall be provided on-site at the Buyer's China Beijing facilities during standard business hours (09:00–18:00, Monday through Friday).
7. Confidentiality: Both parties acknowledge that the Banker operations conducted in China Beijing involve highly sensitive client financial data. The Seller and its personnel shall maintain strict confidentiality and shall not disclose, replicate, or transmit any Banker-related information to third parties without prior written consent from the Buyer.
8. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the Beijing Arbitration Commission (BAC) in China Beijing. The language of arbitration shall be English.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, government mandates affecting China Beijing operations, or pandemics, provided that the affected party notifies the other within five (5) business days.

This Purchase Order for Banker procurement in China Beijing is hereby authorized and executed by the undersigned representatives of both parties. This document constitutes a binding agreement upon signature by both the Buyer and the Seller.

This Purchase Order (PO-CB-2025-BK-04872) is valid for a period of ninety (90) days from the date of issue.
