All goods specified in this Purchase Order shall be delivered to the primary banking facility of the purchaser at Avenue du Commerce, Commune de Gombe, Kinshasa, DR Congo, no later than 30 September 2025. The supplier shall be responsible for the installation, configuration, and initial commissioning of all hardware and software systems at the designated DR Congo Kinshasa premises. The Banker and his designated technical team shall be present during installation to verify compliance with the specifications outlined in this document. A formal acceptance certificate shall be signed by both parties upon successful completion of all installation milestones.
- Payment Terms: Payment shall be made in three installments: 40% upon signing of this Purchase Order, 40% upon delivery and installation at the Kinshasa facility, and 20% upon final acceptance and a 30-day defect-free operational period. All payments shall be processed via wire transfer to the supplier's account at a licensed bank in DR Congo Kinshasa.
- Warranty: The supplier guarantees a minimum 24-month warranty on all hardware items and 12 months of software support. Any defects discovered within the warranty period shall be remedied at no additional cost to the Banker or the institution.
- Compliance: All goods and services procured under this Purchase Order must comply with the regulations of the Banque Centrale du Congo, the Agence Nationale de Régulation des Télécommunications (ANRT) for communication equipment, and all applicable commercial and tax laws of the Democratic Republic of Congo.
- Confidentiality: The supplier acknowledges that all banking data, client information, and operational details shared during the execution of this Purchase Order are strictly confidential and subject to the banking secrecy laws of DR Congo Kinshasa.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through arbitration in Kinshasa, DR Congo, in accordance with the rules of the Centre d'Arbitrage de Kinshasa. The governing law shall be the civil and commercial code of the Democratic Republic of Congo.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to civil unrest, natural disasters, or government-imposed restrictions within DR Congo Kinshasa.
- Amendments: This Purchase Order may only be amended in writing, signed by both the Banker (or his authorized representative) and the supplier's Managing Director.
By signing below, the parties acknowledge that this Purchase Order represents a mutual agreement to the terms described herein. The Banker confirms that he is duly authorized to commit the institution to this procurement in DR Congo Kinshasa, and the supplier confirms its capacity to fulfill all obligations within the stipulated timeframe.
