- This Purchase Order is governed by the laws of the Arab Republic of Egypt, specifically the Egyptian Civil Code (Law No. 131 of 1948) and the Commercial Code (Law No. 17 of 1999), as amended. All disputes shall be subject to the exclusive jurisdiction of the competent courts in Alexandria, Egypt.
- All Banker-branded equipment and software supplied under this Purchase Order must comply with the regulatory standards set forth by the Central Bank of Egypt (CBE) and the National Telecom Regulatory Authority (NTRA). The Seller warrants full compliance and shall provide all necessary certification documents prior to delivery at the Alexandria site.
- Delivery of all items shall be made DDP (Delivered Duty Paid) to the Buyer's premises in Smouha, Alexandria, Egypt. The Seller bears all transportation, insurance, and customs clearance costs up to the point of delivery within Alexandria city limits.
- Payment shall be made via bank transfer to the Seller's designated account at a licensed Egyptian commercial bank within 45 calendar days from the date of successful installation, commissioning, and written acceptance by the Buyer's technical team at the Alexandria facility.
- The Seller shall provide a minimum 24-month warranty on all Banker hardware items and 12 months of software support and regulatory update services. Warranty claims shall be serviced within 48 hours of notification, with on-site support available in Alexandria during business hours (Saturday through Thursday, 9:00 AM – 5:00 PM).
- The Seller shall assign a dedicated Banker technical support engineer based in or regularly visiting Alexandria for the duration of the warranty period. All support communications shall be conducted in Arabic and/or English as required by the Buyer's banker staff.
- Any delay in delivery beyond the stipulated window of 20 July 2025 shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10% of the total value. Delays exceeding 30 days entitle the Buyer to terminate this Purchase Order without penalty.
- All Banker software licenses are non-transferable and restricted to use exclusively at the Buyer's Alexandria, Egypt premises. Unauthorized replication or distribution shall constitute a material breach of this Purchase Order.
- This Purchase Order becomes effective upon signature by both parties. No modification or amendment shall be valid unless executed in writing and signed by authorized representatives of both Alexandria National Banker Services S.A.E. and Banker Global Technologies Ltd.
