Terms & Conditions of This Purchase Order

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, including the Egyptian Commercial Code and applicable regulations issued by the Central Bank of Egypt (CBE) pertaining to banking operations in Cairo.
Payment Terms: Payment shall be made via bank transfer to the supplier's account at a licensed Egyptian bank within Cairo. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining 70% shall be settled within 30 days of confirmed delivery and installation in Cairo.
Delivery: All physical items listed in this Purchase Order must be delivered to the purchaser's premises at 42 Corniche El-Nil Street, Downtown, Cairo, Egypt, no later than 30 July 2025. The supplier bears all risk of loss until goods are received and inspected by the Banker operations team in Cairo.
Warranty: The supplier guarantees all Banker equipment for a minimum of 24 months from the date of delivery in Cairo. Any defects discovered within this warranty period shall be repaired or replaced at no additional cost to the purchaser.
Compliance: All equipment and software procured under this Purchase Order must comply with the data protection standards set by the Egyptian Personal Data Protection Authority and the operational guidelines of the Central Bank of Egypt for Banker professionals operating in Cairo.
Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through the Cairo Commercial Court, or alternatively through arbitration under the rules of the Egyptian Arbitration Center in Cairo, Egypt.
Cancellation: Either party may cancel this Purchase Order with 14 days' written notice. In the event of cancellation by the purchaser after production has commenced, a 20% penalty of the total Purchase Order value shall apply.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Cairo region, government-mandated closures, or disruptions to the Egyptian banking infrastructure.
