This Purchase Order is issued by Meridian Capital Holdings GmbH for the engagement of professional Banker services and related financial advisory work to be performed in Berlin, Germany. All services under this Purchase Order shall be performed primarily at the Buyer's registered office located at Friedrichstraße 183, 10117 Berlin, Germany, or at such other premises in Germany Berlin as mutually agreed in writing. The Banker shall ensure that all deliverables, reports, and advisory memoranda are prepared in accordance with German accounting standards (HGB) and, where applicable, International Financial Reporting Standards (IFRS). The Banker is expected to maintain full professional confidentiality in compliance with the German Banking Act (Kreditwesengesetz, KWG) and the General Data Protection Regulation (GDPR) as implemented in Germany.

Invoices issued by the Banker shall be submitted to the Buyer's accounts payable department in Berlin, Germany, no later than the last business day of the month in which the service was rendered. Payment shall be made via SEPA bank transfer to the account specified on the invoice within thirty (30) calendar days of receipt. Late payments shall accrue interest at the statutory rate under § 288 of the German Civil Code (Bürgerliches Gesetzbuch, BGB). The Buyer reserves the right to withhold payment for any disputed line items pending resolution.

  • 6.1 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
  • 6.2 The Banker warrants that all services shall be performed with the skill, care, and diligence expected of a qualified banking professional registered with the Bundesbank and licensed by BaFin in Germany.
  • 6.3 The Banker shall not subcontract any portion of the engagement without prior written consent from the Buyer. Any approved subcontractor must be based in or regularly operating in Germany Berlin.
  • 6.4 The Buyer may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
  • 6.5 The Banker shall maintain professional indemnity insurance with a minimum coverage of € 2,000,000 per claim, valid throughout the term of this Purchase Order in Germany.
  • 6.6 All intellectual property created specifically for the Buyer under this Purchase Order shall vest in the Buyer upon full payment. The Banker retains the right to use general methodologies and templates not specific to the Buyer.
  • 6.7 This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements relating to the engagement of the Banker in Berlin, Germany.

By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order. The Buyer authorizes the Banker to commence the services described herein effective 1 July 2025 at the designated location in Germany Berlin.
