- Delivery: All Banker hardware components shall be delivered to the Buyer's premises at Mainzer Landstrasse 125, 60329 Frankfurt am Main, Germany, no later than 22 August 2025. Software licensing and digital deliverables shall be made available via secure transfer within five (5) business days of Purchase Order acceptance.
- Payment: Payment of the full amount stated in this Purchase Order shall be made via SEPA bank transfer to the Seller's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (BGB).
- Warranty: The Banker software platform carries a standard twelve (12) month warranty from the date of successful deployment in Frankfurt. Hardware components carry a three (3) year manufacturer warranty. All warranty claims shall be directed to Banker Solutions International AG's Frankfurt service centre.
- Regulatory Compliance: The Seller warrants that the Banker solution, as delivered under this Purchase Order, fully complies with all applicable regulations of the European Central Bank, the German Federal Financial Supervisory Authority (BaFin), and the General Data Protection Regulation (GDPR) as enforced in Germany. The Seller shall provide all necessary documentation to support the Buyer's regulatory filings in Frankfurt.
- Intellectual Property: All intellectual property rights in the Banker software, documentation, and associated materials remain the exclusive property of Banker Solutions International AG. The Buyer is granted a non-transferable, non-exclusive licence to use the Banker platform solely for its internal banking operations in Germany.
- Force Majeure: Neither party shall be liable for delays or failures in performance under this Purchase Order resulting from events beyond reasonable control, including but not limited to natural disasters, war, or government-imposed restrictions affecting operations in Germany Frankfurt or the broader European Union.
- Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany. The parties agree to attempt mediation before initiating formal litigation proceedings.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all commercial terms, technical specifications, and operational data exchanged in connection with this Purchase Order. This obligation shall survive termination of the agreement for a period of five (5) years.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Banker enterprise banking solution to be deployed in Germany Frankfurt.
