Delivery shall be made between 08:00 and 16:00 CET on a weekday. The seller is responsible for all transportation costs within Munich and the surrounding Bavarian region. The Banker furniture must be delivered in original packaging, free from transit damage, and accompanied by a German-language delivery note (Lieferschein) and a commercial invoice (Rechnung) compliant with the German Invoice Regulation (Rechnungsstellungsverordnung). Installation and final positioning of each Banker workstation shall be completed within two business days of delivery. The seller warrants that all items are free from material and manufacturing defects for a period of five (5) years from the date of installation. The Banker document cabinets carry an additional fire-resistance warranty of ten (10) years. All materials used in the Banker equipment must be free of harmful substances in accordance with the German Chemicals Act (Chemikaliengesetz) and REACH regulations. The seller shall provide all relevant CE declarations of conformity and material safety data sheets (Sicherheitsdatenblätter) in German at the time of delivery.

The buyer may cancel this Purchase Order in whole or in part by written notice to the seller up to 14 calendar days before the scheduled delivery date. In the event of cancellation after this period, the buyer shall be liable for a cancellation fee of 15% of the affected order value. Neither party shall be liable for delays or non-performance caused by force majeure events as defined under § 275 BGB, including but not limited to natural disasters, strikes, or government-mandated closures affecting operations in Munich or the broader German territory.

This Purchase Order and all transactions arising hereunder shall be governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich (München), Germany. The parties agree to attempt amicable resolution through mediation before initiating any formal legal proceedings.
