4. Banker Professional Obligations: The engaged Banker shall maintain strict confidentiality of all financial data, comply with the Reserve Bank of India (RBI) guidelines, the Prevention of Money Laundering Act (PMLA) 2002, and all applicable SEBI regulations. The Banker shall submit monthly activity reports to the buyer's CFO by the 5th of each subsequent month.
5. Warranty: All hardware equipment carries a minimum 12-month manufacturer's warranty. The Core Banking Software license includes 3 years of technical support and regulatory update patches. The Banker's advisory services carry a 30-day performance guarantee.
6. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government orders, RBI regulatory freezes, or other events beyond reasonable control, as defined under Indian contract law.
7. Termination: Either party may terminate this Purchase Order with 60 days' written notice. In case of termination, the buyer shall pay for all services rendered and goods delivered up to the termination date.
8. Compliance: The seller warrants that all banking equipment supplied is certified by the Reserve Bank of India and complies with the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023, applicable in India.
