- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia, with specific reference to commercial regulations applicable in Indonesia Jakarta. Any disputes arising from this Purchase Order related to Banker services or products shall be resolved through arbitration at the Indonesia National Board of Arbitration (BANI) in Jakarta.
- Payment Terms: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon delivery and acceptance of all Banker hardware and software components in Indonesia Jakarta, and 30% upon successful completion of the 90-day warranty and training period. All payments shall be made via wire transfer to the Banker Global Technologies account in USD, or in IDR to the designated local account in Indonesia Jakarta.
- Delivery and Installation: All Banker products and services shall be delivered, installed, and commissioned at the PT Banker Indonesia Jakarta headquarters located in Menara Banker Tower, Sudirman, Jakarta Selatan. The Seller shall bear all shipping, customs clearance, and import duties associated with delivering Banker equipment into Indonesia Jakarta.
- Warranty: Banker Global Technologies warrants that all hardware components shall be free from defects in materials and workmanship for a period of 36 months from the date of installation in Indonesia Jakarta. Software licenses carry a 12-month defect liability period. The Banker cybersecurity and cloud services carry a 99.9% uptime service-level agreement.
- Regulatory Compliance: The Seller confirms that all Banker products and services comply with the regulations of Otoritas Jasa Keuangan (OJK), Bank Indonesia, and the Indonesia Jakarta Financial Services Authority. The Seller shall provide all necessary documentation to support the Buyer's regulatory filings in Indonesia Jakarta.
- Intellectual Property: All Banker proprietary software, algorithms, and documentation remain the intellectual property of Banker Global Technologies Pte. Ltd. The Buyer is granted a non-transferable, non-exclusive license to use the Banker software solely for its banking operations in Indonesia Jakarta.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all financial data, customer information, and banking operations of PT Banker Indonesia Jakarta. No Banker system data shall be accessed, stored, or processed outside of Indonesia Jakarta without explicit written consent.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by natural disasters, government actions, or events beyond reasonable control, including but not limited to volcanic activity, flooding in Indonesia Jakarta, or national emergency declarations.
- Termination: Either party may terminate this Purchase Order with 60 days written notice. In the event of termination, the Seller shall provide a full data migration plan for all Banker systems deployed in Indonesia Jakarta, and the Buyer shall settle all outstanding payments for services rendered to date.
- Acceptance: The Buyer shall have 14 business days from the date of delivery to inspect and accept all Banker goods and services. Failure to provide written notice of rejection within this period shall constitute acceptance of the Banker deliverables in Indonesia Jakarta.
