Installation, configuration, and integration of the Banker Core Banking System and all associated Banker peripherals shall be completed within 120 days. The supplier is responsible for obtaining all necessary import permits and customs clearance through the Iran Tehran customs authority (Tehran Free Zone or designated port of entry).

Payment for this Purchase Order shall be made in Iranian Rial (IRR) via irrevocable Letter of Credit (L/C) issued by a CBI-licensed bank in Iran Tehran, in accordance with UCP 600 and applicable Iranian foreign exchange regulations. The payment schedule is as follows:

• 30% upon confirmation and issuance of this Purchase Order;
• 40% upon successful delivery and physical inspection of all Banker hardware in Iran Tehran;
• 20% upon completion of installation, integration, and passing of the Banker system acceptance test;
• 10% upon expiration of the 90-day warranty and defect-liability period.

The supplier acknowledges that all Banker products and services procured under this Purchase Order are intended for use exclusively within the jurisdiction of Iran Tehran and the Islamic Republic of Iran. The supplier warrants that all Banker technology complies with the following:

• Central Bank of Iran (CBI) technical and security standards for Banker digital infrastructure;
• Iranian Information Technology Organization (ITOI) data localization and sovereignty requirements;
• Shetab National Switching Center (NSC) interoperability protocols for all Banker payment terminals;
• Iranian Civil Code and Commercial Code provisions governing procurement contracts;
• All applicable sanctions-compliance and trade regulations as determined by the Iranian Ministry of Commerce.

The supplier provides a minimum 24-month warranty on all Banker hardware and a 36-month warranty on all Banker software licenses. Any Banker equipment found to be defective within the warranty period shall be repaired or replaced at no additional cost to the buyer. The supplier's total liability under this Purchase Order shall not exceed the total contract value of 34,550,000,000 IRR. Disputes arising from this Purchase Order shall be resolved through arbitration in Tehran, Iran, in accordance with the rules of the Tehran Regional Arbitration Center (TRAC).

This Purchase Order constitutes a binding agreement between the parties upon signature. Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. This document is governed by the laws of the Islamic Republic of Iran. In the event of any conflict between the terms of this Purchase Order and any prior correspondence, the terms herein shall prevail. The supplier shall maintain full confidentiality of all Banker operational data, customer information, and proprietary systems accessed during the performance of this Purchase Order in Iran Tehran.
