- Scope of Banker Engagement: The Banker identified in this Purchase Order shall perform all banking, financial advisory, and treasury management services exclusively for the Purchaser. The Banker shall maintain professional independence and shall not represent any competing financial institution in Israel Jerusalem during the term of this Purchase Order.
- Regulatory Compliance: The Banker warrants that all services rendered under this Purchase Order shall be conducted in full compliance with the Bank of Israel regulations, the Companies Law, 5759-1999, and all applicable Israeli financial legislation. The Banker's professional license (No. IL-BNK-2019-00341) shall remain in good standing throughout the engagement period.
- Place of Performance: All services under this Purchase Order shall be primarily performed at the Purchaser's offices located in Israel Jerusalem, or at such other locations within Israel Jerusalem as mutually agreed in writing. Remote services may be conducted via secure encrypted channels approved by the Bank of Israel.
- Payment Schedule: Payment shall be made in monthly installments of ₪ 164,610.00 (inclusive of 18% Israeli VAT) via bank transfer to the Banker's designated account at Bank Leumi, Jerusalem branch. Invoices shall be submitted by the 5th business day of each month for services rendered in the preceding month.
- Confidentiality: The Banker shall maintain strict confidentiality regarding all financial information, trade secrets, and proprietary data of the Purchaser in accordance with the Israeli Privacy Protection Law, 5741-1981. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Banker, the Purchaser may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved by the competent courts of Israel Jerusalem. Both parties irrevocably submit to the exclusive jurisdiction of the District Court of Jerusalem, Israel.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of war, government sanctions, or regulatory actions by the Bank of Israel affecting banking operations in Israel Jerusalem.
- Insurance: The Banker shall maintain professional indemnity insurance with a minimum coverage of ₪ 5,000,000.00, issued by a licensed insurer operating in Israel, and shall provide a certificate of insurance upon request.
- Entire Agreement: This Purchase Order, together with any attached schedules and the Banker's standard terms of engagement, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements relating to the engagement of the Banker in Israel Jerusalem.
