- This Purchase Order is issued by the undersigned Banker, Daniel Levi, acting in his official capacity as Senior Banker at Tel Aviv First National Bank Ltd., and constitutes a binding procurement commitment for the goods and services listed herein.
- All items and services described in this Purchase Order shall be delivered, installed, and made fully operational at the designated Israel Tel Aviv premises no later than the Required Delivery Date stated above. Any delay shall be subject to a penalty of 0.5% of the total order value per calendar day of delay, capped at 10% of the total value.
- The Seller warrants that all banking equipment, software, and services procured under this Purchase Order shall comply with all applicable regulations issued by the Bank of Israel, the Israeli Ministry of Finance, and the Israeli Privacy Protection Authority. The Banker reserves the right to reject any item that does not meet these regulatory standards.
- Payment shall be made via bank transfer to the account specified above within thirty (30) calendar days of receipt of a valid tax invoice (Chovat Shitach) issued in accordance with Israeli tax law. The Banker shall process payment through the internal procurement approval chain of Tel Aviv First National Bank Ltd.
- All intellectual property rights associated with the banking software and AML monitoring systems shall remain the property of the Seller. The Banker and the institution are granted a non-exclusive, non-transferable license to use such software exclusively for banking operations conducted in Israel Tel Aviv and its metropolitan area.
- The Seller shall provide a minimum twelve (12) month warranty on all hardware items. During the warranty period, any defective components shall be repaired or replaced at no additional cost to the Banker or the institution. Software updates and security patches shall be provided free of charge for the duration of the subscription term.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the State of Israel. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Israel Tel Aviv.
- The Banker reserves the right to modify, cancel, or amend this Purchase Order in writing prior to the commencement of delivery or service provision. Any such modification shall require mutual written consent of both parties.
- All communications regarding this Purchase Order shall be directed to the contact details provided above. The Banker shall serve as the primary point of contact for all procurement-related matters pertaining to this order in Israel Tel Aviv.
- This document constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the procurement of banking equipment and services for the Tel Aviv branch.
