5.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Banker supplier upon countersignature by both authorized representatives. All terms are governed by the laws of the Italian Republic, with jurisdiction vested in the Tribunale di Napoli (Naples Court), Italy.

5.2 The Banker supplier warrants that all software licenses, hardware components, and professional services shall conform to the specifications outlined in Annex A (attached separately) and shall comply with all applicable regulations of the Banca d'Italia, the European Central Bank (ECB), and the Italian Data Protection Authority (Garante per la Protezione dei Dati Personali).

5.3 Payment shall be executed via SEPA bank transfer to the account designated by the Banker supplier. Invoices must reference this Purchase Order number (NAP-2025-04871) and shall be submitted to the accounts payable department at Banca del Golfo di Napoli S.p.A., Naples, Italy.

5.4 The Banker supplier shall maintain full professional liability insurance coverage of no less than EUR 2,000,000 for the duration of the contract, valid throughout the territory of Italy, with particular coverage for operations in the Naples region.

5.5 Any modification to the scope, pricing, or delivery schedule of this Purchase Order must be documented in a written amendment signed by both parties. Verbal agreements regarding the Banker services or any component of this order shall be null and void.

5.6 In the event of non-compliance or failure to meet the delivery milestones in Section 4, the Banker supplier shall be subject to a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total contract value.

5.7 All intellectual property rights associated with the Banker Platform, proprietary algorithms, and compliance modules remain the exclusive property of Banker Financial Solutions S.r.l. The Purchasing Entity is granted a non-transferable, non-exclusive license for use within its Naples, Italy operations.

This Purchase Order is hereby authorized and approved by the undersigned representatives of both parties.
