This Purchase Order is issued by the Kyoto Metropolitan Financial Infrastructure Authority (hereinafter referred to as "the Buyer") to Global Banker Solutions International Co., Ltd. (hereinafter referred to as "the Vendor") for the procurement, delivery, installation, and commissioning of comprehensive Banker equipment, secure cash-handling systems, digital banking terminals, and associated professional services. All goods and services specified herein are to be delivered, installed, and made fully operational at the Buyer's designated facility located in Japan, Kyoto, specifically at the Kyoto Central Financial Operations Center, 1-1-1 Higashiyama-ku, Kyoto 600-8216, Japan.
The Banker systems procured under this Purchase Order are intended to support the daily operational requirements of the Kyoto metropolitan banking and financial services network, including but not limited to secure cash management, automated teller operations, interbank transaction processing, and regulatory compliance reporting as mandated by the Bank of Japan and the Financial Services Agency of Japan. The Vendor acknowledges that all Banker equipment must meet the stringent security, durability, and performance standards applicable to financial infrastructure in Japan, Kyoto, and must be fully compliant with Japanese Industrial Standards (JIS) and the Personal Information Protection Act (PIPA) of Japan.

All prices are quoted in Japanese Yen (JPY) and are inclusive of delivery to the Kyoto, Japan site. Prices are fixed for the duration of this Purchase Order and shall not be subject to escalation.
The Vendor shall deliver all Banker equipment to the designated facility in Japan, Kyoto no later than 15 August 2025. Installation and commissioning of all systems shall be completed by 30 August 2025. The operator training program shall be conducted between 1 September 2025 and 5 September 2025 at the Kyoto site. The regulatory compliance audit shall be performed within 10 business days following the completion of installation. The Vendor shall provide a written progress report to the Buyer every Friday during the delivery and installation period.
6.1 This Purchase Order is governed by the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kyoto, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
6.2 The Vendor warrants that all Banker equipment supplied under this Purchase Order shall be new, unused, and free from defects in materials and workmanship for a period of no less than 24 months from the date of commissioning at the Kyoto facility.
6.3 The Vendor shall maintain adequate insurance coverage, including cargo insurance for transit to Japan, Kyoto, and liability insurance for installation activities, throughout the duration of this Purchase Order.
6.4 The Buyer reserves the right to inspect and test all Banker equipment upon arrival at the Kyoto site. Any equipment found to be damaged, defective, or non-conforming to the specifications outlined in this Purchase Order shall be replaced at the Vendor's sole expense within 14 business days.
6.5 The Vendor shall comply with all applicable Japanese labor laws, environmental regulations, and building codes in the city of Kyoto, Japan, during the installation and commissioning phases.
6.6 Confidentiality: All information exchanged under this Purchase Order, including system configurations, security protocols, and operational data related to the Banker systems in Kyoto, Japan, shall be treated as strictly confidential by both parties.
This Purchase Order is hereby issued and authorized by the undersigned on behalf of the Kyoto Metropolitan Financial Infrastructure Authority. The Vendor's acceptance of this Purchase Order shall be confirmed in writing within 10 business days of the date of issue.
