All Banker hardware units, software media, and associated documentation shall be delivered to the Buyer's designated facility at 1-2-3 Chiyoda, Tokyo 100-0001, Japan Tokyo, no later than August 15, 2025. The Seller, Banker Global Systems Corporation, shall be responsible for all shipping, insurance, and customs clearance costs associated with the delivery of the Banker system components to the Japan Tokyo site. Installation and configuration of the Banker platform shall be completed within fourteen (14) business days following physical delivery. The Seller shall assign a dedicated project manager based in Japan Tokyo to oversee the deployment process and ensure full compliance with all applicable Japanese financial regulations and data protection standards.
Payment for this Purchase Order shall be made in Japanese Yen (JPY) via bank transfer to the Seller's designated account. The payment schedule is structured as follows:
- 30% Advance Payment (JPY 51,276,000) – Due within ten (10) business days of Purchase Order acceptance.
- 50% Milestone Payment (JPY 85,460,000) – Due upon successful installation and initial configuration of the Banker system at the Japan Tokyo facility.
- 20% Final Payment (JPY 34,184,000) – Due upon completion of the training program and issuance of the final acceptance certificate by the Buyer.
Late payments shall incur an interest charge of 1.5% per month, calculated from the due date. All invoices must reference this Purchase Order number (PO-JT-2025-004872) for proper accounting reconciliation.
The Seller warrants that all Banker hardware and software components delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of final acceptance. The Banker system shall comply with all applicable regulations of the Financial Services Agency of Japan and the Personal Information Protection Act (PIPA) as enforced in Japan Tokyo. The Seller shall provide all necessary documentation, user manuals in both Japanese and English, and regulatory compliance certificates prior to the final acceptance inspection.
This Purchase Order becomes binding upon written acceptance by both parties. The Buyer reserves the right to inspect all Banker components upon arrival at the Japan Tokyo facility and to reject any items that do not conform to the specifications outlined herein. Disputes arising from this Purchase Order shall be resolved under the laws of Japan, with jurisdiction vested in the courts of Tokyo, Japan.
