Terms and Conditions of This Purchase Order

Delivery Location: All goods and services under this Purchase Order shall be delivered and installed at the respective branch locations of East African Commercial Bank Limited within the Kenya Nairobi metropolitan area, including but not limited to the Westlands, CBD, Kilimani, and Karen branch offices.
Delivery Timeline: The Supplier shall complete all deliveries and installations within forty-five (45) calendar days from the date of this Purchase Order. The Banker workstations must be fully operational before the start of the next fiscal quarter.
Payment Terms: Payment shall be made in three installments: 40% upon signing of this Purchase Order, 40% upon successful delivery and installation of all Banker equipment in Kenya Nairobi, and 20% upon final acceptance and completion of the Banker training program. All payments shall be processed via bank transfer to the Supplier's designated account in Kenyan Shillings (KES).
Warranty: All hardware items procured for the Banker workstations shall carry a minimum two-year manufacturer's warranty. Software licenses are valid for twelve (12) months from the date of activation. The Supplier guarantees that all Banker equipment will meet the specifications outlined in this Purchase Order.
Compliance: All products and services must comply with the regulations set forth by the Central Bank of Kenya (CBK) and the Kenya Revenue Authority (KRA). The Supplier warrants that all Banker-facing technology is PCI-DSS compliant and meets the data protection standards under the Kenya Data Protection Act, 2019.
Quality Assurance: The Buyer reserves the right to inspect and test all Banker equipment upon delivery at the Nairobi branch sites. Any item found defective or non-conforming shall be replaced at the Supplier's sole expense within seven (7) business days.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government policy changes in Kenya, or civil unrest affecting the Nairobi region.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995.
Confidentiality: Both parties agree to maintain strict confidentiality regarding all banking operations, customer data, and internal processes of the Banker staff. No information obtained through this Purchase Order shall be disclosed to third parties without written consent.
Validity: This Purchase Order is valid for sixty (60) days from the date of issue. If the Supplier does not accept this Purchase Order within the validity period, it shall automatically lapse and require re-issuance.
