All goods and services referenced in this Purchase Order shall be delivered to the buyer's office at Kuwait Towers, Kuwait Kuwait City, Kingdom of Kuwait. The Banker supplier, Banker & Associates Trading W.L.L., is responsible for all transportation, handling, and insurance of goods from the point of dispatch to the final delivery location in Kuwait Kuwait City. Delivery shall be completed no later than 25 June 2025. Installation and on-site setup of all Banker equipment shall be performed by qualified technicians from the supplier's team, who must present valid work permits and identification upon arrival at the Kuwait Kuwait City site. The buyer's site supervisor, Mr. Salem Al-Rashidi, shall be the sole point of contact for all delivery and installation coordination in Kuwait Kuwait City.

Payment for this Purchase Order shall be made in Kuwaiti Dinars (KWD) via bank transfer to the Banker supplier's designated account at National Bank of Kuwait, Kuwait Kuwait City branch. The total amount of KWD 14,652.75 is due within thirty (30) calendar days from the date of successful delivery and written acceptance by the buyer. A 5% late payment penalty shall apply to any overdue balance. The Banker supplier must provide a valid tax invoice and a copy of the commercial registration certificate issued by the Ministry of Commerce and Industry, Kingdom of Kuwait, prior to processing of payment. All transactions under this Purchase Order are subject to the laws of the State of Kuwait and shall be governed by Kuwaiti commercial law.

Upon delivery to the Kuwait Kuwait City premises, the buyer shall have a period of five (5) business days to inspect all Banker items for quality, completeness, and conformity with the specifications outlined in this Purchase Order. Any defects, damages, or discrepancies must be reported in writing to the Banker supplier within this inspection window. The supplier shall rectify or replace any non-conforming items at no additional cost to the buyer within ten (10) business days of the defect report. Failure to meet the quality standards specified herein shall entitle the buyer to reject the affected items and request a full or partial refund as appropriate.

This Purchase Order constitutes a binding agreement between the buyer and the Banker supplier upon signature by both parties. Neither party may assign or transfer its obligations under this Purchase Order without the prior written consent of the other party. All communications regarding this Purchase Order shall be directed to the addresses listed in Section 1. In the event of any dispute arising from the interpretation or execution of this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be referred to the competent courts in Kuwait Kuwait City, Kingdom of Kuwait. This Purchase Order is valid for a period of thirty (30) days from the date of issue. Any amendments or modifications to this Purchase Order must be made in writing and signed by authorized representatives of both the buyer and the Banker supplier.
