- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar, including the Companies Law (2017), the Myanmar Securities Exchange Law, and all applicable regulations issued by the Central Bank of Myanmar (CBM) pertaining to banking operations in Yangon and the wider Myanmar financial sector.
- Delivery: All Banker equipment, hardware, and physical goods shall be delivered DDP (Delivered Duty Paid) to the buyer's designated Yangon premises at 128 Sule Avenue, Kyauktada Township, Yangon, Myanmar. The supplier shall bear all risks, costs, and responsibilities for transportation, customs clearance at Yangon International Airport or Thilawa Port, and final delivery to the specified Banker installation sites within Yangon city limits.
- Payment: Payment shall be made in Myanmar Kyat (MMK) via bank transfer to the supplier's designated account at a licensed commercial bank in Yangon, Myanmar. Payment is due within forty-five (45) calendar days from the date of receipt of a valid tax invoice and confirmed delivery/acceptance of the Banker goods and services. The buyer reserves the right to withhold payment for any items not conforming to the specifications outlined in this Purchase Order.
- Quality & Compliance: All Banker products and services must comply with the Central Bank of Myanmar's operational standards, the Myanmar National Payment System (MNPS) technical specifications, and the data protection requirements under Myanmar's Cyber Security Law (2022). The supplier warrants that all Banker software and hardware are free from defects, viruses, and unauthorized access vulnerabilities for a minimum period of twenty-four (24) months from the date of installation in Yangon.
- Warranty & Support: The supplier shall provide a minimum twenty-four (24) month warranty on all Banker hardware items and twelve (12) months of software support. For critical Banker systems (core banking, ATM modules, network security), the supplier shall guarantee a response time of no more than four (4) hours and on-site resolution within twenty-four (24) hours at any Yangon branch location.
- Confidentiality: Both parties acknowledge that this Purchase Order involves sensitive Banker operational data, customer information, and proprietary banking systems. All information exchanged in connection with this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent, in accordance with Myanmar banking secrecy regulations.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters affecting Yangon or Myanmar, government sanctions, changes in Myanmar banking regulations, or disruptions to the Myanmar financial infrastructure. The affected party shall notify the other in writing within seven (7) days of the occurrence.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation between the authorized Banker representatives of both parties in Yangon. If unresolved within thirty (30) days, the dispute shall be submitted to arbitration under the rules of the Myanmar Arbitration Centre in Yangon. The language of arbitration shall be English.
- Amendments: No modification, amendment, or supplement to this Purchase Order shall be valid unless made in writing and signed by the authorized Banker representatives of both parties. Any changes to scope, pricing, or delivery timelines for the Banker goods and services must be documented as a formal amendment to this Purchase Order.
- Regulatory Approvals: The supplier acknowledges that certain Banker equipment and software may require prior approval or registration with the Central Bank of Myanmar, the Myanmar Securities Exchange Commission, or other relevant Myanmar regulatory authorities before deployment in Yangon. The supplier shall cooperate fully with the buyer in obtaining all necessary regulatory clearances.
