- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal, including the Contract Act, 2056 (1999) and the Nepal Rastra Bank Act, 2073 (2016).
- Delivery: All goods and services under this Purchase Order shall be delivered to the Buyer's premises at Putalisadak, Kathmandu, Nepal within 45 (forty-five) calendar days from the date of this Purchase Order. The Seller shall bear all transportation costs within the Kathmandu Valley.
- Payment: Payment shall be made via bank transfer to the Seller's designated account in Nepal within 30 (thirty) days of receipt of a valid tax invoice and confirmed delivery. The Buyer shall deduct applicable withholding tax as mandated by the Inland Revenue Department of Nepal.
- Warranty: All hardware items carry a minimum 24-month manufacturer's warranty. Software licenses include 12 months of free updates and technical support. The Seller guarantees that all Banker-specific software modules are fully compliant with Nepal Rastra Bank's operational guidelines and the Electronic Transactions Act, 2063.
- Banker Compliance: The Seller warrants that all equipment and software procured under this Purchase Order shall meet the security and operational standards required for Banker personnel operating in Nepal's regulated banking sector. Any non-compliance discovered within the warranty period shall be rectified at the Seller's sole expense.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all banking data, customer information, and operational details exchanged during the execution of this Purchase Order, in accordance with Nepal's banking secrecy provisions.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation in Kathmandu. Failing resolution within 30 days, the matter shall be referred to arbitration under the Arbitration Act, 2055 (1999) of Nepal, with the seat of arbitration in Kathmandu.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes, floods common in the Kathmandu Valley), government regulations, or acts of God as defined under Nepali law.
- Acceptance: The Buyer shall have 10 (ten) working days from the date of delivery to inspect and accept or reject the goods and services. Rejection must be communicated in writing with specific reasons.
- Tax Compliance: The Seller shall provide a valid VAT-registered invoice as per the requirements of the Inland Revenue Department, Kathmandu Zonal Office. All applicable taxes, duties, and levies under Nepali law are included in the pricing above.
