1. Scope of Purchase Order: This Purchase Order is issued by Banker Nigeria Limited, a duly registered financial institution operating in Abuja, Federal Capital Territory, Nigeria, for the procurement of Banker-branded banking infrastructure, software licenses, and professional services as itemised above. All goods and services shall conform to the specifications outlined in the Banker product catalogue, edition 2025, and shall meet the regulatory requirements of the Central Bank of Nigeria (CBN) as applicable in Abuja.
2. Delivery and Installation: The Seller, Banker Global Technologies PLC, shall deliver all physical goods to the Banker headquarters located in Maitama, Abuja, Nigeria, no later than 30 July 2025. Installation, configuration, and commissioning of all Banker systems shall be completed within fourteen (14) calendar days of physical delivery. The Seller bears full responsibility for logistics, customs clearance (where applicable), and safe handling of all Banker equipment until acceptance is confirmed in writing by the Buyer.
3. Payment Terms: Payment shall be made in Nigerian Naira (NGN) within forty-five (45) days of receipt of a valid tax invoice from the Seller. Payment shall be processed via bank transfer to the Seller's designated account with a Nigerian commercial bank. The Buyer reserves the right to withhold payment for any Banker items that fail to meet the agreed specifications or regulatory compliance standards.
4. Warranty and Support: All Banker hardware items carry a minimum two-year manufacturer's warranty from the date of installation. Software licenses are valid for the stated subscription period. The Seller shall provide on-site technical support in Abuja within eight (8) business hours of any reported fault during the warranty period.
5. Compliance and Regulatory Adherence: All Banker products and services procured under this Purchase Order must comply with the Nigeria Data Protection Regulation (NDPR), CBN operational guidelines for Abuja-based financial institutions, and all applicable standards set by the Nigerian Information Security Development Agency (NISDA). The Seller warrants that no Banker component shall contain backdoors, unauthorised data exfiltration mechanisms, or non-compliant encryption protocols.
6. Cancellation and Amendment: This Purchase Order may be amended or cancelled in writing by either party with a minimum of fourteen (14) days' notice. In the event of cancellation after production has commenced, the Buyer shall be liable for 30% of the total Purchase Order value as a cancellation fee.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this document shall be resolved through arbitration in Abuja, FCT, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
