- Delivery: All goods and services under this Purchase Order shall be delivered, installed, and commissioned at the specified locations within Lagos, Nigeria, no later than 30th June 2025. The Seller bears all costs of transportation, insurance, and handling within the Federal Republic of Nigeria.
- Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice and satisfactory completion of installation and acceptance testing. Payment shall be made via bank transfer to the Seller's designated account domiciled in Lagos, Nigeria. The Buyer reserves the right to withhold 10% of the total contract value as a performance retention, to be released upon successful completion of the 90-day warranty period.
- Warranty: All hardware items carry a minimum 24-month manufacturer's warranty. Software licenses include 36 months of maintenance, patching, and technical support. The Seller shall provide on-site support in Lagos within 4 business hours of any reported critical failure.
- Compliance: All products and services must comply with the regulations of the Central Bank of Nigeria (CBN), the Nigeria Data Protection Act (NDPA) 2023, and applicable standards of the Nigerian Inter-Bank Settlement System (NIBSS). The Seller warrants that no item shall be subject to any intellectual property dispute.
- Acceptance Testing: The Buyer shall conduct a 14-day acceptance testing period following installation. Any defects, non-conformities, or performance shortfalls identified during this period shall be rectified by the Seller at no additional cost within 7 business days.
- Confidentiality: The Seller acknowledges that in the course of fulfilling this Purchase Order, it may access sensitive banking data, customer records, and proprietary systems of Meridian Trust Bank Plc. The Seller shall execute a separate Non-Disclosure Agreement (NDA) prior to commencement of any work and shall not disclose, replicate, or use such information for any purpose other than the performance of this Purchase Order.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to acts of God, civil unrest, government sanctions, or pandemics, provided that the affected party notifies the other in writing within 48 hours of the occurrence.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising hereunder shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004).
- Taxation: All prices are stated in Nigerian Naira (NGN). The Seller is responsible for all applicable federal and state taxes, levies, and duties. The Buyer shall deduct and remit any applicable Withholding Tax (WHT) as prescribed by the Federal Inland Revenue Service (FIRS) and provide the Seller with an official tax credit note.
- Amendments: No modification, variation, or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
