This Purchase Order is issued by Banco Continental del Pacífico S.A. to procure specialized Banker infrastructure, security systems, and professional banking services for the expansion of its branch network in the Lima metropolitan area. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by BankerTech Solutions S.A.C. within ten (10) business days of the date of issue. Failure to respond within this period shall constitute automatic acceptance under Peruvian commercial law (Código Civil del Perú, Art. 1322 et seq.).
Delivery: All Banker equipment and materials shall be delivered to the designated branch locations in Lima, Peru, no later than August 15, 2025. Delivery shall be DDP (Delivered Duty Paid) to the addresses specified in Annex A of this Purchase Order.
Payment Terms: Payment shall be made in three (3) installments: 40% upon execution of this Purchase Order, 40% upon delivery and installation of all Banker hardware in Lima, and 20% upon final acceptance and completion of the Banker training program. All payments shall be made via bank transfer to the supplier’s account in Peruvian Soles (PEN) at a bank operating in Lima, Peru.
Warranty: BankerTech Solutions S.A.C. shall provide a minimum two (2) year warranty on all Banker hardware and a three (3) year warranty on the Banker core banking software, as specified in the item descriptions above.
Compliance: All Banker products and services procured under this Purchase Order shall comply with the regulations of the Superintendencia de Banca, Seguros y AFP (SBS) of Peru, the data protection standards of the Ley Nº 29733 (Ley de Protección de Datos Personales), and all applicable tax obligations before SUNAT (Superintendencia Nacional de Aduanas y de Administración Tributaria) in Lima.
Seismic Compliance: Given the seismic activity in the Lima region, all Banker vaults, structural installations, and equipment mounts shall meet the seismic design criteria of the Norma E.030 (Diseño Sísmico) of the Reglamento Nacional de Edificaciones del Perú.
Confidentiality: Both parties agree to maintain strict confidentiality regarding all Banker systems, customer data, and financial information exchanged in connection with this Purchase Order, in accordance with Peruvian banking secrecy law (Ley Nº 26702).
Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through binding arbitration in Lima, Peru, under the rules of the Cámara de Comercio, Industria y Producción de Lima, in the Spanish language.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to earthquakes, government decrees, or national emergencies declared in Lima or the Republic of Peru.
Validity: This Purchase Order is valid for sixty (60) calendar days from the date of issue. Any modifications must be made in writing and signed by both parties.
