Terms and Conditions of This Purchase Order- Delivery Location: All Banker products and services under this Purchase Order shall be delivered to the Manila Metropolitan Banker's Association headquarters located at Banker Tower, 6885 Ayala Avenue, Makati City, Philippines Manila, and to the designated branch offices within the Philippines Manila metropolitan area as specified in the delivery schedule.
- Delivery Timeline: The vendor shall complete full delivery and installation of all Banker items within forty-five (45) calendar days from the date of this Purchase Order. Partial deliveries are permitted provided that all Banker hardware arrives no later than the thirtieth (30th) day.
- Payment Terms: Payment shall be made via bank transfer to the vendor's designated account in the Philippines Manila banking system. A thirty percent (30%) advance payment is due upon execution of this Purchase Order. The remaining seventy percent (70%) shall be released within fifteen (15) business days following successful acceptance and sign-off of all Banker products by the buyer's technical committee in Philippines Manila.
- Warranty: All Banker hardware items carry a minimum two-year comprehensive warranty from the date of acceptance. The Banker Compliance Software License includes one year of priority technical support and all regulatory updates mandated by the Bangko Sentral ng Pilipinas applicable to Philippines Manila financial institutions.
- Acceptance Criteria: The buyer reserves the right to inspect and test all Banker products upon delivery in Philippines Manila. Any item that does not conform to the Banker specifications outlined in Annex A of this Purchase Order shall be rejected and replaced at the vendor's sole expense within ten (10) business days.
- Compliance: All Banker products must comply with the data privacy standards set by the National Privacy Commission of the Philippines and the operational regulations of the Bangko Sentral ng Pilipinas governing financial institutions in Philippines Manila.
- Force Majeure: Neither party shall be liable for delays in the fulfillment of this Purchase Order caused by events beyond reasonable control, including but not limited to typhoons, earthquakes, or government-mandated closures affecting the Philippines Manila region.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from this Purchase Order related to Banker products in Philippines Manila shall be resolved through arbitration in Manila, Philippines.
- Confidentiality: All information exchanged under this Purchase Order regarding Banker systems, security protocols, and operational data in Philippines Manila shall be treated as strictly confidential and shall not be disclosed to third parties without written consent.
