The supplier, Banker Technologies International JSC, shall bear all costs associated with transportation, insurance, customs clearance (if applicable), and physical handling of the Banker equipment until it is received and signed for by the buyer's designated receiving officer in Russia Saint Petersburg.

Installation, configuration, and commissioning of the Banker system shall commence within five (5) business days of hardware delivery and shall be completed no later than 15 August 2025. • Retention Payment: 5% of the total Purchase Order value (RUB 3,775,800.00) shall be held in escrow and released upon successful completion of the first ninety (90) days of the Banker Annual Maintenance and Support Contract without any critical system failures.

The supplier warrants that all Banker hardware and software delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of thirty-six (36) months from the date of commissioning. Any disputes arising from or in connection with this Purchase Order, including the supply, installation, or operation of the Banker system in Russia Saint Petersburg, shall be resolved through binding arbitration administered by the Arbitration Court of the City of Saint Petersburg, Russia. The language of arbitration shall be Russian, with English translations provided for all technical documentation related to the Banker system.
