All Banker hardware and software deliverables under this Purchase Order shall be delivered to the buyer's primary facility located at 12 Boulevard du Général De Gaulle, Plateau, Dakar, Senegal, no later than 30 August 2025. The seller shall bear all costs of transportation, customs clearance (where applicable for imported components), insurance, and installation within the territory of Senegal. The Banker installation team shall coordinate with the buyer's IT department in Dakar to ensure minimal disruption to ongoing banking operations during the deployment window.
Payment for this Purchase Order shall be made in CFA Francs (XOF) via bank transfer to the seller's designated account at a licensed commercial bank in Dakar, Senegal. The payment schedule is as follows:
- 30% Advance Payment (XOF 68,481,300) — Due within 10 business days of the buyer's written acceptance of this Purchase Order, to be remitted to the seller's account at Ecobank Transnational, Dakar branch.
- 50% Progress Payment (XOF 114,135,500) — Due within 15 business days following successful delivery and installation of all Banker hardware and software at the Dakar premises, subject to a joint inspection and sign-off by both parties.
- 20% Final Payment (XOF 45,654,200) — Due within 30 business days after the completion of all staff training sessions and the issuance of the final acceptance certificate by the buyer's Director of Operations in Senegal Dakar.
All invoices issued by the seller in connection with this Purchase Order must be denominated in XOF and must include the seller's NIF, RC number, and a reference to this Purchase Order number (PO-SEN-DKR-2025-00472). Late payments shall attract interest at the rate of 1.5% per month, in accordance with the provisions of the Senegalese Commercial Code (Code de Commerce du Sénégal).
The seller warrants that all Banker products and services supplied under this Purchase Order shall be free from defects in design, materials, and workmanship for a period of not less than three (3) years from the date of final acceptance. The seller further warrants that the Banker Core Banking Platform and all associated modules shall be fully compliant with the following regulatory frameworks applicable in Senegal Dakar:
- The banking and financial regulations issued by the Commission Bancaire de l'UEMOA and the BCEAO.
- The Senegalese Law No. 2003-09 of 14 January 2003 on the prevention and combating of money laundering and terrorist financing, as amended.
- The data protection provisions of the Senegalese Law No. 2008-12 of 25 February 2008 on the protection of personal data, administered by the Agence Nationale de Protection des Données à Caractére Personnel (ANPDCP) in Dakar.
- All applicable cybersecurity standards and directives issued by the Agence Nationale de la Cybersécurité (ANC) of Senegal.
The seller shall provide the buyer with all necessary documentation, source code escrow agreements, and regulatory filings required to maintain the buyer's banking license in Senegal Dakar throughout the duration of the Banker license term.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal, including the Senegalese Civil Code, the Senegalese Commercial Code, and all applicable UEMOA harmonization acts.
- Any dispute arising out of or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Dakar, Senegal. The parties agree to attempt amicable resolution through mediation before initiating any formal legal proceedings.
- The seller shall not assign or subcontract any material obligation under this Purchase Order without the prior written consent of the buyer.
- Force majeure events, including but not limited to natural disasters, civil unrest, or government-imposed restrictions within Senegal, shall relieve the affected party from performance obligations for the duration of the event, provided that written notice is given to the other party within 72 hours of the occurrence.
- This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of Banker goods and services described herein and supersedes all prior negotiations, representations, and agreements, whether written or oral.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
