5.1 This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Singapore, and all services shall be performed within the territory of Singapore Singapore.
5.2 The Banker engaged under this Purchase Order shall maintain all professional qualifications, licences, and registrations required by the Monetary Authority of Singapore and shall comply with all anti-money laundering (AML) and counter-terrorist financing (CTF) obligations applicable in Singapore Singapore.
5.3 The Supplier warrants that the Banker assigned to this Purchase Order shall possess a minimum of fifteen (15) years of experience in corporate banking, trade finance, and treasury management within the Singapore Singapore financial services sector.
5.4 All deliverables under this Purchase Order shall be subject to the Buyer's quality assurance review. The Buyer reserves the right to request revisions or additional work from the Banker at no additional cost where deliverables do not meet the specifications outlined herein.
5.5 Payment shall be made via bank transfer to the Supplier's designated account in Singapore Singapore within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Interest on Late Payment of Business Debts Act (Singapore).
5.6 The Supplier shall indemnify and hold harmless the Buyer against any claims, losses, or liabilities arising from the Banker's negligence, breach of confidentiality, or non-compliance with Singapore Singapore regulatory requirements.
5.7 This Purchase Order may be amended only by written agreement signed by both parties. Any variation in scope, cost, or timeline must be documented as a formal Purchase Order amendment.
Note: By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Banker services in Singapore Singapore. The Banker's engagement, deliverables, and all associated obligations are as described in Section 4 of this document.
