4.1 Delivery and Performance: All Banker services shall be delivered and performed at the buyer's premises located in Spain Barcelona, specifically at Avinguda Diagonal 450, 08006 Barcelona. The supplier shall ensure that all personnel assigned to this Purchase Order are legally authorized to work in Spain and hold any necessary professional banking licenses issued by the Banco de España.
4.2 Payment Terms: Payment shall be made in Euro (EUR) via bank transfer to the supplier's account in Spain. Invoices shall be issued monthly in arrears. Payment is due within thirty (30) calendar days from the date of invoice receipt, in accordance with the Spanish Late Payment Directive (Real Decreto 4/2013). Late payments shall accrue interest at the rate established by the Banco de España.
4.3 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Barcelona, Spain. The parties agree to attempt mediation before the Barcelona Chamber of Commerce (Càmera de Comerç de Barcelona) prior to initiating any litigation.
4.4 Confidentiality: Both parties acknowledge that the Banker services involve access to sensitive financial data, client information, and proprietary banking strategies. All information exchanged under this Purchase Order shall be treated as strictly confidential in accordance with the Spanish Data Protection Act (LOPDGDD 3/2018) and the EU General Data Protection Regulation (GDPR). The supplier shall maintain all records in physical or electronic form within the territory of Spain, specifically in Barcelona, unless prior written consent is obtained from the buyer.
4.5 Termination: Either party may terminate this Purchase Order with a written notice of ninety (90) days. In the event of termination, the supplier shall complete all Banker service deliverables in progress and provide a full transition report to the buyer within thirty (30) days of the termination effective date.
4.6 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions affecting the banking sector in Spain, or pandemics, provided that written notice is given within five (5) business days.
4.7 Anti-Money Laundering Compliance: The supplier warrants that all Banker services shall be conducted in strict compliance with the Spanish Anti-Money Laundering Law (Ley 10/2010) and the regulations of the Comisión de Prevención del Blanqueo de Capitales (SEPBLAC). The supplier shall report any suspicious transactions or activities to the relevant Spanish authorities as required by law.
5. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Banker services to be provided in Spain Barcelona. This document constitutes a binding agreement between the parties upon execution.
