• The Supplier warrants that the Banker platform shall be free from material defects for a period of twenty-four (24) months from the date of final acceptance in Madrid, Spain.
• All data processed by the Banker system shall be stored on servers physically located within the territory of Spain Madrid or, at minimum, within the European Economic Area, in strict compliance with the GDPR and the LOPDGDD (Ley Orgánica 3/2018).
• The Banker solution shall meet all reporting and audit requirements imposed by the Banco de España, the Comisión Nacional del Mercado de Valores (CNMV), and the European Banking Authority (EBA) as applicable to financial institutions operating in Madrid, Spain.
• This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this document shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain, unless otherwise agreed in writing by both parties.
