- This Purchase Order is issued by Ceylon National Banker Services (Pvt) Ltd., a registered banking institution operating in Sri Lanka Colombo, and constitutes a binding agreement upon acceptance by the Supplier.
- All items specified in this Purchase Order are intended for use by the Banker staff and operations of the buyer's branches located in Colombo, Sri Lanka. The Supplier acknowledges that the end-user is a regulated banking entity subject to the oversight of the Bank of Sri Lanka.
- Delivery of all physical goods shall be made to the buyer's premises at 42, Galle Road, Colombo 03, Sri Lanka, no later than 30 June 2025. Software licenses and digital services shall be activated within 10 business days of full payment confirmation.
- The Banker training programme (Item 04) shall be conducted at the buyer's training facility in Colombo, Sri Lanka, between 1 July 2025 and 5 July 2025. The Supplier shall provide all instructional materials, certification documents, and post-training support for a period of 90 days.
- Payment shall be made via bank transfer to the Supplier's designated account in Sri Lanka Colombo within 30 days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 1.5% per month as per Sri Lankan commercial law.
- All equipment and software supplied under this Purchase Order must comply with the standards and regulations set forth by the Bank of Sri Lanka, the Sri Lanka Standards Institution (SLSI), and applicable data protection laws in Sri Lanka Colombo.
- The Supplier warrants that all goods are new, free from defects, and fit for the purpose of professional Banker operations. A minimum warranty period of 24 months applies to all hardware items, and 12 months to all software and digital services.
- Any modification, cancellation, or amendment to this Purchase Order must be made in writing and signed by both parties. Verbal agreements are not binding.
- In the event of a dispute arising from this Purchase Order, the matter shall be resolved through arbitration in Colombo, Sri Lanka, in accordance with the Arbitration Act of Sri Lanka. The governing law shall be the laws of the Democratic Socialist Republic of Sri Lanka.
- The Supplier shall maintain full confidentiality regarding all banking data, client information, and operational details of the buyer's Banker staff encountered during the execution of this Purchase Order in Sri Lanka Colombo.
- This Purchase Order is valid for a period of 90 days from the date of issue. If the Supplier does not confirm acceptance in writing within 14 days, this Purchase Order shall be deemed void.
