• All Banker hardware shall be delivered to the purchaser’s premises at 128 Sukhumvit Road, Khlong Toei, Thailand Bangkok 10110. Delivery shall be made between 08:00 and 17:00 on business days (Monday to Friday), excluding Thai public holidays.
• The supplier, Banker Global Solutions (Thailand) PCL, shall bear all costs associated with transportation, insurance, and unloading of goods within the Thailand Bangkok metropolitan area.
• Installation and commissioning of all Banker systems shall be completed no later than 15 September 2025. The purchaser shall provide access to the branch facility, electrical infrastructure, and network connectivity as reasonably required.
• A formal Acceptance Certificate shall be signed by both parties upon successful completion of all installation, testing, and training activities. This Purchase Order shall be deemed fully executed upon such acceptance.

• 30% Advance Payment: THB 5,139,210.00 (including VAT) due within 14 calendar days of the date of this Purchase Order, payable by bank transfer to the supplier’s designated account at Kasikornbank PCL, Bangkok branch.
• 50% on Delivery & Installation: THB 8,565,350.00 (including VAT) due within 21 calendar days of the signing of the Acceptance Certificate for all Banker hardware and software items.
• 20% Retention: THB 3,426,140.00 (including VAT) due within 90 days of the Acceptance Certificate, subject to satisfactory completion of the initial 30-day go-live support period.
• All payments shall be made in Thai Baht (THB) via interbank transfer. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with Thai commercial law.

• All Banker hardware products carry a minimum 36-month manufacturer’s warranty from the date of the Acceptance Certificate. Software licenses are warranted to be free from material defects for the duration of the subscription term.
• All Banker systems and services shall comply with the regulations of the Bank of Thailand (BOT), the Office of National Anti-Corruption Commission (NACC), and the Personal Data Protection Act (PDPA) B.E. 2562 (2019) of Thailand.
• This Purchase Order and any disputes arising therefrom shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes shall be resolved through arbitration under the rules of the Thai Arbitration Institute, with the seat of arbitration in Thailand Bangkok.
• The supplier warrants that all Banker products are new, unused, and free from any encumbrance, lien, or third-party claim.

Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Thailand Bangkok region. Either party may terminate this Purchase Order upon 60 days’ written notice if the other party commits a material breach and fails to cure such breach within 30 days of receiving written notice.
