All items under this Purchase Order shall be delivered to the Anadolu Finans Bankası A.Ş. premises in Turkey Ankara (Kızılay, Çankaya district) no later than 01 August 2025. The supplier is responsible for all international shipping, customs clearance through the Ankara customs authority, and final-mile delivery to the designated floor. Installation and configuration of the Banker workstation, secure terminal, and communication systems must be completed within five (5) business days of physical delivery.

Acceptance of the Banker equipment package shall be confirmed in writing by the designated Banker (Mr. Emre Kaya) and the IT Infrastructure Manager of the Turkey Ankara office. A formal acceptance certificate, signed by both parties, must be submitted to the Procurement Department within ten (10) business days of installation completion. Failure to submit the acceptance certificate within the stipulated period shall constitute deemed acceptance of the Banker equipment package.

Payment for this Purchase Order shall be made via irrevocable letter of credit issued by Anadolu Finans Bankası A.Ş., Turkey Ankara branch, in favour of Meridian Banking Solutions International GmbH. The total amount of USD 78,828.00 (Seventy-Eight Thousand Eight Hundred Twenty-Eight US Dollars) shall be disbursed in two tranches: fifty percent (50%) upon confirmed delivery of all Banker equipment to the Turkey Ankara site, and the remaining fifty percent (50%) upon successful completion of installation, BDDK compliance verification, and written acceptance by the designated Banker.

The supplier warrants that all Banker equipment and software delivered under this Purchase Order shall be free from defects in material and workmanship for a period of three (3) years from the date of acceptance in Turkey Ankara. Any defective component shall be repaired or replaced at the supplier's sole expense within fifteen (15) business days of written notice. The supplier's aggregate liability under this Purchase Order shall not exceed the total contract value of USD 78,828.00.

Any dispute arising from or in connection with this Purchase Order shall be resolved through arbitration in Ankara, Türkiye, in accordance with the rules of the International Arbitration Centre of the Ankara Chamber of Commerce. The arbitration shall be conducted in English, and the decision of the arbitral tribunal shall be final and binding upon both parties.
