- This Purchase Order is issued by Meridian Financial Group, Inc., a corporation organized under the laws of the State of Illinois, United States, with its principal place of business located in Chicago, Illinois. All transactions governed by this Purchase Order shall be subject to the Uniform Commercial Code (UCC) as adopted in the State of Illinois.
- The Supplier, Banker's Premier Office Solutions LLC, acknowledges that all items listed in this Purchase Order are specifically designated as Banker grade professional banking furniture and equipment, manufactured to meet the aesthetic, security, and functional standards required by financial institutions operating in the Chicago, United States metropolitan area.
- Delivery shall be made FOB Destination to the address specified in Chicago, Illinois, United States. Risk of loss and title shall pass to the Buyer upon delivery and acceptance at the designated Chicago location. The Supplier is responsible for all freight charges, insurance in transit, and professional installation within the Chicago, United States delivery zone.
- All items must comply with applicable United States federal and Illinois state regulations, including but not limited to the Americans with Disabilities Act (ADA) accessibility standards, California Air Resources Board (CARB) compliance for wood products, and UL safety certifications where applicable. The Banker-grade materials must meet or exceed industry standards for commercial banking environments.
- Payment shall be made within thirty (30) calendar days of the date of a correct invoice, via wire transfer to the Supplier's designated United States bank account. Late payments shall accrue interest at the rate of 1.5% per month or the maximum rate permitted by Illinois state law, whichever is less.
- The Supplier warrants that all Banker equipment and furniture delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of five (5) years from the date of delivery in Chicago, United States. This warranty includes all moving parts, electronic components, finishes, and structural elements.
- In the event of non-conforming goods, the Buyer shall notify the Supplier in writing within ten (10) business days of delivery. The Supplier shall, at its sole expense, repair or replace any defective Banker items within fifteen (15) business days of receiving such notice.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements relating to the purchase of Banker equipment for the Chicago, United States facility. No modification shall be valid unless made in writing and signed by authorized representatives of both parties.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of laws principles. Any disputes arising hereunder shall be resolved in the state or federal courts located in Cook County, Chicago, Illinois, United States.
- The Supplier represents that it is a duly registered business entity in the State of Illinois, United States, and holds all necessary licenses and permits to manufacture, sell, and deliver professional Banker-grade banking furniture and equipment within the Chicago metropolitan area.
