1. This Purchase Order is issued by Atlantic Meridian Holdings, LLC, a corporation registered in the State of Florida, United States, and is directed to Banker Financial Solutions Group, Inc., a licensed financial technology provider headquartered in Miami, Florida, United States.
2. All goods and services referenced in this Purchase Order shall be delivered, installed, and made operational at the purchaser's premises located in Miami, Florida, United States, no later than the delivery dates specified in the line items above.
3. Banker Financial Solutions Group, Inc. warrants that all software licenses, banking modules, and compliance tools provided under this Purchase Order are free from defects, fully licensed, and compliant with all applicable United States federal regulations, including but not limited to those enforced by the Federal Reserve, the SEC, FINRA, and the Florida Office of Financial Regulation.
4. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from Banker Financial Solutions Group, Inc. Payment shall be processed via wire transfer to the bank account designated by the supplier in Miami, United States. Late payments shall accrue interest at a rate of 1.5% per month.
5. Banker Financial Solutions Group, Inc. shall provide a minimum of twelve (12) months of warranty coverage on all hardware components and software licenses. Any defects discovered during the warranty period shall be remedied at no additional cost to the purchaser.
6. This Purchase Order is governed by and shall be construed in accordance with the laws of the State of Florida, United States. Any disputes arising hereunder shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association.
7. Neither party shall be liable for delays or failures in performance caused by acts of God, natural disasters (including hurricanes affecting the Miami, Florida region), government actions, or other events beyond the reasonable control of the affected party.
8. All intellectual property rights associated with the Banker financial platforms, proprietary algorithms, and banking solutions remain the exclusive property of Banker Financial Solutions Group, Inc. The purchaser is granted a non-transferable, non-exclusive license to use the products solely for internal business operations in Miami, United States.
9. This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral. No modification shall be valid unless made in writing and signed by authorized representatives of both parties.
10. Banker Financial Solutions Group, Inc. shall maintain adequate professional liability and cyber insurance coverage throughout the term of this Purchase Order and shall provide certificates of insurance upon request.
