- This Purchase Order is issued by Banco Nacional de Caracas, C.A., a banking institution duly authorized and regulated by the Banco Central de Venezuela (BCV), with its principal headquarters located in Caracas, Distrito Capital, Venezuela. All transactions under this Purchase Order shall be governed by the commercial laws of the Bolivarian Republic of Venezuela and, where applicable, the Uniform Commercial Code of the United States for cross-border components.
- The supplier, Global Banker Solutions, Inc., warrants that all Banker-grade equipment, software licenses, and professional services described herein shall conform to the specifications outlined in this Purchase Order and shall be free from defects in materials and workmanship for a minimum period of twenty-four (24) months from the date of delivery or installation in Caracas.
- Delivery of all physical goods shall be made DDP (Delivered Duty Paid) to the receiving facility at Av. Francisco de Miranda, Torre Banker, Piso 14, Caracas, Venezuela. The supplier is responsible for all international shipping, customs clearance at the Puerto de La Guaira, import licensing through the relevant Venezuelan authorities, and final delivery to the Caracas premises. Estimated delivery window: 90 calendar days from the date of this Purchase Order.
- Payment shall be made in United States Dollars (USD) via irrevocable letter of credit issued by Banco Nacional de Caracas, C.A., payable to Global Banker Solutions, Inc. The letter of credit shall be issued within ten (10) business days of mutual execution of this Purchase Order. Payment is due Net 30 days from the date of confirmed delivery and acceptance of goods or completion of services in Caracas.
- All Banker software and technology products shall be subject to a non-disclosure agreement (NDA) and intellectual property license restricted to the internal use of Banco Nacional de Caracas, C.A., and its authorized branches within the territory of Venezuela. No redistribution, reverse engineering, or sublicensing is permitted without prior written consent.
- The supplier shall assign a dedicated Banker technical support representative based in or accessible to Caracas, Venezuela, to provide 24/7 remote and on-site support for all hardware and software components. Response time for critical system failures shall not exceed four (4) hours.
- In the event of non-delivery, defective goods, or failure to perform services as specified, the issuing entity in Caracas reserves the right to reject the affected items, withhold payment, and seek remedies as provided under Venezuelan commercial law and the terms of this Purchase Order.
- This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of Banker products and services described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendments must be made in writing and signed by authorized representatives of both parties.
- All disputes arising from this Purchase Order shall be resolved through binding arbitration in Caracas, Venezuela, in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas. The language of arbitration shall be Spanish, with English translations provided for all technical documentation.
