Terms and Conditions of This Purchase Order
- This Purchase Order is governed by the laws of the Republic of Algeria and the Algerian Commercial Code. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Algiers, Algeria.
- The Biologist, Dr. Amina Benali, warrants that all services rendered under this Purchase Order shall be performed with the highest degree of professional competence, in full compliance with Algerian environmental regulations and the professional code of conduct for Biologists registered with the Algerian National Order of Scientists.
- All biological samples collected in Algiers, Algeria, shall be handled in strict accordance with biosafety level 2 (BSL-2) protocols. The Biologist assumes full responsibility for the safe transport, storage, and eventual disposal of all biological materials.
- Payment shall be processed via bank transfer to the Biologist's designated account in Algeria within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate set by the Bank of Algeria.
- The Biologist shall maintain professional liability insurance with a minimum coverage of 5,000,000 DZD for the duration of this Purchase Order and the 90-day standby period. A certificate of insurance shall be provided prior to the commencement of services in Algiers, Algeria.
- Intellectual property rights in all data, reports, and findings generated under this Purchase Order shall vest exclusively in the Algerian National Institute of Biological Research. The Biologist shall not publish or disclose any project-specific data without prior written consent.
- This Purchase Order may be amended only by mutual written agreement of both parties. Any modification must be documented in a formal addendum signed by authorized representatives of both the buyer in Algiers and the Biologist.
- The Biologist shall comply with all applicable Algerian labor, environmental, and health and safety regulations while performing services in Algiers, Algeria. Non-compliance may result in immediate termination of this Purchase Order without penalty to the buyer.
- Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Algiers, Algeria, shall suspend obligations under this Purchase Order for the duration of the event, with a maximum extension of sixty (60) days.
