TERMS AND CONDITIONS- Scope of Work: The Biologist engaged under this Purchase Order shall perform all duties in strict compliance with the professional standards established by the Colegio de Biólogos de la Ciudad de Buenos Aires and the national regulations of the Argentine Republic. All fieldwork and laboratory activities shall be conducted within the jurisdiction of Buenos Aires, Argentina, unless otherwise authorized in writing by the Buyer.
- Qualifications: The Biologist must hold a minimum of a Licenciatura en Biología (Bachelor's degree in Biology) from a recognized Argentine university, a valid professional registration with the Colegio de Biólogos, and a minimum of five (5) years of documented experience in environmental biology and impact assessment within Argentina.
- Payment Schedule: Payment for this Purchase Order shall be made in three (3) equal installments: 30% upon execution of this document, 40% upon completion of fieldwork and laboratory phases, and 30% upon final delivery and acceptance of the regulatory compliance report. All payments shall be processed via bank transfer to the account designated by BioConsult Argentina S.R.L. in Buenos Aires.
- Intellectual Property: All reports, data, species inventories, and analytical results produced by the Biologist under this Purchase Order shall be the exclusive property of Instituto de Investigaciones Biológicas del Plata S.A. The Biologist shall not publish, distribute, or share any proprietary data without prior written consent from the Buyer.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all information exchanged in connection with this Purchase Order. This obligation shall survive the termination of the engagement for a period of three (3) years.
- Compliance with Argentine Law: This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Argentine Republic, specifically the Civil and Commercial Code of the Nation (Código Civil y Comercial de la Nación) and applicable tax regulations of the Administración Federal de Ingresos Públicos (AFIP). Any disputes arising from this document shall be resolved in the competent courts of the City of Buenos Aires, Argentina.
- Termination: Either party may terminate this Purchase Order with a written notice of fifteen (15) calendar days. In the event of early termination, the Biologist shall be compensated for all services rendered up to the date of termination, plus a reasonable transition period.
- Insurance and Liability: The Biologist and BioConsult Argentina S.R.L. shall maintain adequate professional liability insurance coverage throughout the duration of this engagement. The Seller assumes full responsibility for any damages or losses arising from negligence or non-compliance with Argentine environmental and occupational safety regulations.
- Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies as may be declared in Buenos Aires, Argentina.
