- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Victoria, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order relating to the Biologist's engagement shall be resolved through the Victorian Small Claims and Civil Tribunal or, where the amount exceeds the jurisdictional limit, the Supreme Court of Victoria, Melbourne.
- Scope of Work: The Biologist and supporting biological team shall perform all duties in strict compliance with the Australian Code of Practice for the Care and Use of Animals for Scientific Purposes (8th Edition, 2013) and all applicable Victorian and Commonwealth environmental legislation. No collection of protected species under the Flora and Fauna Guarantee Act 1988 (Vic) shall be undertaken without prior written approval from the Department of Energy, Environment and Climate Action, Melbourne.
- Intellectual Property: All data, reports, species records, and biological samples generated under this Purchase Order shall become the sole property of the Victorian Environmental Research Institute upon full payment. The Biologist retains the right to publish anonymised findings in peer-reviewed journals, subject to a 30-day prior written notice to the Purchaser.
- Insurance and Liability: The Supplier shall maintain, at its own cost, a professional indemnity insurance policy with a minimum cover of AUD $5,000,000 and a public liability insurance policy of AUD $10,000,000, both valid throughout the duration of the Biologist's engagement in Melbourne, Australia. Certificates of insurance shall be provided prior to the commencement date.
- Payment Schedule: 30% of the total Purchase Order value shall be due upon execution of this document. 50% shall be due upon delivery and acceptance of the Environmental Impact Assessment report. The remaining 20% shall be due within 30 days of final project completion and sign-off by the Purchaser's project lead in Melbourne.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Biologist shall be compensated for all work completed and materials procured up to the date of termination, as documented in a final invoice submitted to the Purchaser's Melbourne office.
- Confidentiality: The Biologist and all associated personnel shall treat all project data, site locations, and sensitive ecological information as strictly confidential. Breach of confidentiality shall result in immediate termination and potential legal action under the Privacy Act 1988 (Cth) and Victorian privacy legislation.
- Health and Safety: All fieldwork conducted by the Biologist within the Melbourne metropolitan area shall comply with the Occupational Health and Safety Act 2004 (Vic). A site-specific risk assessment must be completed and submitted to the Purchaser prior to any fieldwork commencement.
