- Scope of Biologist Engagement: The Biologist shall perform all services described in Section 2 in accordance with the Australian and New Zealand Standard AS 3959 and the relevant NSW environmental guidelines. All fieldwork conducted by the Biologist within Australia Sydney shall adhere to Work Health and Safety (WHS) regulations as administered by SafeWork NSW.
- Professional Qualifications: The Biologist must maintain a valid AIEC membership, a current NSW Environmental Impact Statement (EIS) accreditation, and professional indemnity insurance of no less than AUD $10,000,000 for the duration of this Purchase Order.
- Intellectual Property: All reports, data sets, species identification records, and ecological assessments produced by the Biologist under this Purchase Order shall become the sole property of Harbour Environmental Sciences Pty Ltd upon full payment. The Biologist retains the right to reference the work in academic publications with prior written consent.
- Compliance with Australian Law: The Biologist shall ensure all activities comply with the Environment Protection and Biodiversity Conservation Act 1999 (Cth), the Biodiversity Conservation Act 2016 (NSW), and any local council by-laws applicable to the Sydney metropolitan area. Any permit or licence required for the handling or relocation of protected species within Australia Sydney shall be obtained by the Biologist at no additional cost to the purchaser.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice issued in accordance with the Australian Taxation Office requirements. All amounts are stated in Australian Dollars (AUD) and are inclusive of GST at the current rate of 10%.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the date of termination, and all field data collected in Australia Sydney shall be handed over to the purchaser.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved in accordance with the Civil Procedure Act 2003 (NSW) and shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia Sydney.
- Confidentiality: The Biologist shall treat all project data, site-specific ecological information, and client details as strictly confidential in accordance with the Privacy Act 1988 (Cth) and the Privacy and Data Protection Act 2014 (NSW).
By signing below, the parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Biologist in Australia Sydney. This document constitutes a binding commercial agreement under the laws of the State of New South Wales, Australia.
