This Purchase Order is issued by the Brussels Metropolitan Research Institute to formally engage the services of a qualified Biologist to conduct a comprehensive environmental and molecular ecology assessment within the greater Belgium Brussels metropolitan area. Acceptance: This Purchase Order constitutes a binding offer. The Biologist shall confirm acceptance in writing within five (5) business days of receipt. Failure to respond within this period shall be interpreted as a declination of this Purchase Order.
Place of Performance: All fieldwork, laboratory analysis, and professional consultations related to this Purchase Order shall be conducted in or around Belgium Brussels, unless otherwise agreed in writing by both parties.
Professional Standards: The Biologist shall perform all services in accordance with the professional code of ethics established by the Belgian Order of Biologists and in compliance with all applicable Belgian and European Union environmental regulations, including Directive 2000/60/EC (Water Framework Directive) and Directive 92/43/EEC (Habitats Directive).
Intellectual Property: All data, reports, and deliverables produced under this Purchase Order shall become the exclusive property of the Brussels Metropolitan Research Institute upon full payment. The Biologist retains the right to publish anonymized findings in peer-reviewed journals, subject to a 30-day prior review by BMRI.
Confidentiality: The Biologist agrees to maintain strict confidentiality regarding all proprietary data, internal communications, and unpublished research materials encountered during the performance of this Purchase Order in Belgium Brussels.
Insurance: The Biologist shall maintain professional liability insurance with a minimum coverage of EUR 1,000,000 per claim, valid throughout the duration of this Purchase Order, and shall provide a certificate of insurance upon request.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the termination date, plus reasonable costs incurred in reliance on this Purchase Order.
Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be submitted to the competent courts of Belgium Brussels. Both parties agree to attempt mediation through the Belgian Mediation Institute before initiating formal legal proceedings.
Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Belgium Brussels.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
