This Purchase Order is issued by the Instituto de Pesquisa Ambiental do Sudeste (hereinafter referred to as the "Buyer") to engage the professional services of a certified Biologist, Dr. Marcus Aurelio Ferreira, for the execution of ecological field research, environmental impact assessment, and biodiversity monitoring activities. All services described herein shall be performed exclusively within the metropolitan region and surrounding ecosystems of Brazil Rio de Janeiro, including but not limited to the Tijuca National Forest, the Guanabara Bay estuarine zone, the Pedra Branca State Park, and the coastal wetlands of the Ilha Grande archipelago.
The Biologist engaged under this Purchase Order shall be responsible for conducting a comprehensive faunal and floral survey across a minimum of twelve (12) distinct habitat types found in the Brazil Rio de Janeiro region. The scope includes the collection, identification, cataloguing, and preliminary taxonomic analysis of specimens, as well as the preparation of a detailed technical report in accordance with the standards established by the Brazilian Institute of Environment and Renewable Natural Resources (IBAMA) and the State Environment Secretariat of Rio de Janeiro (SEMA-RJ).

3.1 – Scope and Compliance: The Biologist shall perform all activities in strict compliance with Brazilian federal and state environmental legislation, including the Brazilian Environmental Crimes Law (Lei nº 9.605/1998), the National System of Conservation Units (SNUC – Lei nº 9.985/2000), and all applicable permits issued by IBAMA and SEMA-RJ. The Biologist is solely responsible for obtaining and maintaining all field research permits required for work in protected areas within Brazil Rio de Janeiro.
3.2 – Schedule: All fieldwork shall commence no later than July 1, 2025, and shall be completed by October 31, 2025. The final technical report shall be delivered to the Buyer's offices in Rio de Janeiro, RJ, no later than November 30, 2025. Any delay exceeding fifteen (15) calendar days without prior written approval from the Buyer shall result in a penalty of 0.5% of the total Purchase Order value per day of delay.
3.3 – Payment Terms: Payment shall be made in three (3) installments via bank transfer (TED/DOC) to the account designated by the Biologist: (a) 40% (R$ 64,940.00) upon signing and acceptance of this Purchase Order; (b) 35% (R$ 56,822.50) upon completion of all fieldwork and submission of preliminary data; (c) 25% (R$ 40,587.50) upon delivery and formal acceptance of the final technical report. All payments are subject to the deduction of applicable Brazilian taxes (IRRF, INSS, ISS) as mandated by the Brazilian tax code.
3.4 – Intellectual Property: All data, reports, photographs, GIS layers, and specimen records generated under this Purchase Order shall be the exclusive property of the Buyer. The Biologist retains the right to publish peer-reviewed scientific articles based on the research, provided that the Buyer is cited as the funding institution and that no confidential or proprietary data is disclosed without prior written consent.
3.5 – Insurance and Liability: The Biologist shall maintain, at his own expense, comprehensive professional liability insurance and personal accident coverage for a minimum value of R$ 500,000.00 for the entire duration of the contract. The Buyer shall not be held liable for any injury, loss, or damage sustained by the Biologist or his assistants during field operations in the Brazil Rio de Janeiro region.
3.6 – Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience by the Buyer, the Biologist shall be compensated for all services rendered and non-cancellable expenses incurred up to the date of termination. In the event of termination for cause (material breach, failure to meet deliverable deadlines, or violation of environmental regulations), the Buyer reserves the right to withhold remaining payments and seek damages.
3.7 – Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes arising from or in connection with this document shall be subject to the exclusive jurisdiction of the courts of the city of Rio de Janeiro, State of Rio de Janeiro, Brazil.
3.8 – Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, unpublished data, and internal communications exchanged in the course of this engagement. This obligation shall survive the termination or expiration of this Purchase Order for a period of five (5) years.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Biologist confirms that he holds a valid registration with the Brazilian Council of Biologists (Conselho Federal de Biologia – CFBio) and that all qualifications, permits, and insurance policies referenced herein are current and in good standing as of the date of execution.
