This Purchase Order is issued by GreenLab Research & Environmental Solutions Ltda. to formally request and authorize the engagement of a qualified Biologist to perform comprehensive environmental impact assessments, biodiversity surveys, and ecological monitoring activities within the metropolitan region of Brazil São Paulo. The Biologist shall be a credentialed professional registered with the Brazilian Federal Council of Biology (CBio) and shall possess a minimum of eight (8) years of post-graduate experience in tropical ecology, environmental toxicology, and conservation biology.
The scope of work for the Biologist includes, but is not limited to: conducting field surveys of native flora and fauna in the Tietê River basin and the Cantareira Water Supply System watershed; preparing detailed species inventories in compliance with IBAMA (Brazilian Institute of Environment and Renewable Natural Resources) regulations; performing water quality biological assessments using macroinvertebrate indices; developing habitat restoration plans for degraded urban green corridors in the city of São Paulo; and delivering a final technical report in both Portuguese and English for submission to the São Paulo State Environmental Agency (CETESB).

All services under this Purchase Order shall be performed exclusively within the geographic boundaries of Brazil São Paulo, including the city of São Paulo, the surrounding metropolitan region (Grande São Paulo), and the designated field sites in the Tietê River basin and Cantareira Water Supply System. The Biologist shall commence fieldwork on July 1, 2025, and all on-site activities shall be completed no later than September 30, 2025. The final technical report, including all appendices, data sets, and photographic documentation, shall be delivered to the GreenLab project office at Av. Paulista, 1578, São Paulo, SP, no later than October 15, 2025.
- Qualification: The Biologist engaged under this Purchase Order must hold a valid registration with the Conselho Federal de Biologia (CBio) and a master's or doctoral degree in Biology, Ecology, or a directly related field from a recognized Brazilian or international university.
- Compliance: All fieldwork and laboratory analyses shall comply with the Brazilian Environmental Law (Law No. 6,938/1981), IBAMA Resolution No. 01/2014, and CETESB technical guidelines applicable to the state of São Paulo.
- Payment: Payment shall be made in Brazilian Reais (BRL) via bank transfer (TED/PIX) to the supplier's account within thirty (30) calendar days from the date of invoice issuance, provided all deliverables have been accepted in writing by the GreenLab project manager.
- Intellectual Property: All data, reports, photographs, and biological samples collected by the Biologist in the course of this engagement shall become the exclusive property of GreenLab Research & Environmental Solutions Ltda. upon full payment.
- Confidentiality: The Biologist agrees to maintain strict confidentiality regarding all proprietary data, client information, and project details encountered during the execution of this Purchase Order in Brazil São Paulo.
- Insurance: The Biologist shall maintain valid professional liability insurance and personal accident coverage for the entire duration of the engagement, with minimum coverage of R$ 500,000.00.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Biologist shall be compensated for all services rendered and non-cancellable expenses incurred up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, state of São Paulo.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Brazil São Paulo region.
This Purchase Order is hereby authorized and approved for execution. The Biologist services described herein are essential for the completion of the Environmental Compliance Project ENV-SP-2025-034 and are critical for ensuring regulatory adherence in the Brazil São Paulo operational area. All terms, conditions, and pricing have been reviewed and accepted by the undersigned parties.
