This Purchase Order is issued by Institut de Recherche Biologique du Québec Inc. to formally request and authorize the engagement of a qualified Biologist to provide specialized scientific consulting, laboratory analysis, and environmental assessment services within the Canada Montreal metropolitan area and its surrounding regions. The Biologist engaged under this Purchase Order shall be responsible for the following duties within the Canada Montreal operational area:

  • Conduct comprehensive ecological surveys and biodiversity assessments of terrestrial and aquatic ecosystems in and around Canada Montreal, including the Saint Lawrence River, the Ottawa River corridor, and the Laurentian foothills.
  • Perform laboratory-based molecular and cytological analyses of biological specimens collected in the Canada Montreal region, ensuring all procedures adhere to the standards set by Health Canada and the Québec Ministry of Environment.
  • Prepare and submit all required environmental impact reports, species-at-risk assessments, and habitat conservation plans to the appropriate regulatory bodies in Canada Montreal and the Province of Québec.
  • Provide ongoing scientific advisory support to the project management team, attending weekly coordination meetings held at the buyer's office in Canada Montreal.
  • Maintain all necessary professional certifications, including the Ordre des biologistes du Québec license, throughout the duration of this Purchase Order.
  • Ensure that all data collected and reports generated by the Biologist comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and Québec's Law 25 regarding data privacy.
  • 1. Acceptance: This Purchase Order becomes binding upon written acceptance by the supplier. The supplier must confirm acceptance of this Purchase Order within five (5) business days of receipt.
  • 2. Payment: Payment for all services rendered under this Purchase Order shall be made within thirty (30) days of receipt of a valid invoice. Invoices must reference this Purchase Order number (CM-2025-04871) and be submitted to the buyer's accounts payable department in Canada Montreal.
  • 3. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the effective date of termination.
  • 4. Insurance: The supplier must maintain professional liability insurance with a minimum coverage of CAD $2,000,000 for all services performed by the Biologist in Canada Montreal and its surrounding areas.
  • 5. Confidentiality: All data, specimens, and proprietary information accessed by the Biologist in the course of this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the buyer.
  • 6. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of Québec and the applicable federal laws of Canada. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Montreal, Québec.
