The Biologist is expected to possess a Doctorate in Biological Sciences, a minimum of ten (10) years of professional experience in terrestrial and aquatic ecology, and valid registration with the Ontario College of Biologists.

4.1 Acceptance of Purchase Order: By signing this Purchase Order, the Biologist (Dr. Marcus A. Chen) acknowledges and accepts all terms, conditions, and scope of work as outlined herein. This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the provision of biological consulting services in Canada Toronto.
4.2 Payment Terms: Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 40% upon completion of fieldwork and laboratory analysis, and 20% upon delivery and acceptance of the final technical report. All payments shall be processed via electronic funds transfer (EFT) to the account designated by the Biologist. Invoices must reference Purchase Order number PO-2025-CA-TOR-0472.
4.3 Performance Standards: The Biologist shall perform all duties with the degree of skill, care, and diligence expected of a qualified professional biologist operating in Canada Toronto. All methodologies must conform to the standards published by the Canadian Council of Biologists and the Ontario Ministry of the Environment, Conservation and Parks.
4.4 Intellectual Property: All data, reports, samples, and intellectual property generated under this Purchase Order shall remain the exclusive property of Meridian Environmental Research Institute. The Biologist shall not publish, distribute, or disclose any project-specific findings without prior written consent from the Buyer.
4.5 Insurance and Liability: The Biologist shall maintain professional liability insurance with a minimum coverage of CAD $2,000,000 per occurrence throughout the duration of this Purchase Order. A certificate of insurance shall be provided to the Buyer prior to the commencement of fieldwork in Canada Toronto.
4.6 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the date of termination, and all biological samples and data collected shall be surrendered to the Buyer.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Toronto in accordance with the Arbitration Act of Ontario.
4.8 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged under this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
5. DELIVERY AND ACCEPTANCEAll deliverables under this Purchase Order, including the final biodiversity assessment report, shall be submitted to the Buyer at the Meridian Environmental Research Institute office located at 1420 Yonge Street, Canada Toronto, Ontario. The Biologist shall provide a minimum of ten (10) business days for the Buyer to review and accept or reject each deliverable. Failure to respond within this period shall constitute deemed acceptance.
