- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Biologist. The Biologist must return a signed copy of this Purchase Order to the Coastal Pacific Environmental Research Institute within five (5) business days of receipt.
- Performance Location: All fieldwork, laboratory analysis, and reporting activities shall be conducted primarily in Canada Vancouver, British Columbia, and its immediate coastal waters. The Biologist is responsible for all travel, lodging, and transportation costs within the Canada Vancouver metropolitan area unless otherwise agreed in writing.
- Compliance: The Biologist warrants that all services rendered under this Purchase Order shall comply with the Canadian Environmental Protection Act (CEPA), the British Columbia Wildlife Act, the Fisheries Act, and all municipal regulations applicable to the Canada Vancouver area. The Biologist shall maintain all necessary professional licenses and insurance throughout the duration of the engagement.
- Insurance: The Biologist shall maintain professional liability insurance with a minimum coverage of $2,000,000 CAD and commercial general liability insurance of $1,000,000 CAD, naming the Coastal Pacific Environmental Research Institute as an additional insured party.
- Payment: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Biologist. Invoices must reference this Purchase Order number (CPERI-PO-2025-0487) and include the Biologist's Business Number for GST/HST purposes. Payment shall be made via electronic funds transfer (EFT) to the account designated by the Biologist.
- Intellectual Property: All data, reports, samples, and findings generated under this Purchase Order shall become the sole property of the Coastal Pacific Environmental Research Institute. The Biologist may reference the work in academic publications only with prior written consent.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Biologist shall be compensated for all services rendered and non-cancellable expenses incurred up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable in Canada Vancouver.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government orders, or other events beyond reasonable control, including but not limited to extreme weather conditions affecting the Canada Vancouver coastline.
